Terms & Conditions- Delivery: All equipment and materials under this Purchase Order shall be delivered to the NIOR facility at Lodhi Road, New Delhi, India, within thirty (30) calendar days from the date of this Purchase Order. Delivery shall be made to the attention of the Oceanographer, Dr. Vikram Chandrasekaran, who shall sign the delivery receipt on behalf of the Buyer.
- Installation & Commissioning: The Seller shall provide on-site installation and full calibration of all oceanographic instruments at the Buyer's premises in New Delhi, India. The Oceanographer shall be present during all commissioning activities and shall certify operational readiness in writing before the installation is deemed complete.
- Payment Terms: 30% advance payment upon confirmation of this Purchase Order; 50% upon successful delivery and installation in New Delhi, India; and the remaining 20% upon final acceptance by the Oceanographer after a 14-day trial period. All payments shall be made via RTGS/NEFT to the Seller's designated bank account in India.
- Warranty: All hardware items carry a minimum 24-month manufacturer's warranty from the date of acceptance by the Oceanographer. Software licences are valid for the stated duration. Warranty service shall be provided at no additional cost within the New Delhi, India, metropolitan area.
- Intellectual Property & Data: All data generated by the Oceanographer using the procured equipment shall remain the exclusive property of NIOR, New Delhi, India. The Seller shall not access, replicate, or distribute any research data without written consent from the Oceanographer and the Director.
- Compliance: This Purchase Order is governed by the laws of India. Any disputes shall be resolved through arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996. The transaction is subject to all applicable Indian customs, import, and GST regulations.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government policy changes in India, or other events beyond reasonable control, provided written notice is given within 7 days.
- Modification: No amendment to this Purchase Order shall be valid unless executed in writing and signed by both the authorised officer of the Buyer and the Oceanographer, and the authorised representative of the Seller.
