This Purchase Order is issued by the Institut de Recherche en Océanographie et Sciences Marines (IROM) in Senegal Dakar to procure specialized oceanographic instrumentation, sampling equipment, and technical support services required by the lead Oceanographer, Dr. Awa Ndiaye, for the 2025–2026 West African Coastal Marine Research Programme.   • Delivery Location: IROM Field Station, Boulevard de la Marine, Plateau, Dakar, Senegal. All equipment must be delivered to the Oceanographer's designated receiving dock at the IROM facility.
  • Delivery Deadline: All physical items shall arrive at the port of Dakar no later than 15 August 2025. The on-site technical support and calibration service (Item 06) shall commence within 10 business days of equipment delivery.
  • Incoterms: CIF (Cost, Insurance, and Freight) — Port of Dakar, Senegal, in accordance with Incoterms 2020.
  • Packaging: All oceanographic instruments must be packed in shock-resistant, moisture-proof crates suitable for tropical climate transport. The Oceanographer's team will inspect all items upon arrival and issue a delivery acceptance certificate within 5 business days.
  • Payment Method: Irrevocable Letter of Credit (LC) issued by the Banque Atlantique du Sénégal, Dakar branch, in favor of Meridian Oceanographic Instruments Ltd.
  • Payment Schedule: 40% (USD 144,190.80) upon confirmation of this Purchase Order; 50% (USD 180,238.50) upon shipment and presentation of Bill of Lading; 10% (USD 36,047.70) upon successful installation, calibration, and acceptance by the Oceanographer in Senegal Dakar.
  • Currency: All amounts are denominated in United States Dollars (USD). Conversion to West African CFA Franc (XOF) shall be at the prevailing rate on the date of each payment.
  • Payment Window: Each installment is due within 30 days of the triggering event. Late payments shall accrue interest at 1.5% per month.
  • All equipment shall carry a minimum 24-month manufacturer's warranty from the date of acceptance by the Oceanographer. Warranty coverage includes parts and labor for defects in materials or workmanship.
  • The Seller warrants that all instruments are new, unused, and conform to the specifications outlined in the attached technical annex (Annex A, not reproduced herein). The Oceanographer reserves the right to reject any item that fails to meet the stated performance parameters during the acceptance testing phase in Senegal Dakar.
  • The Seller shall provide all necessary export documentation, including certificates of origin, phytosanitary certificates where applicable, and compliance declarations for importation into Senegal in accordance with the regulations of the Direction Générale des Douanes du Sénégal.
  • The on-site technical support service (Item 06) shall include comprehensive training for the Oceanographer and a minimum of four IROM research assistants on the operation, maintenance, and data retrieval of all delivered equipment. Training materials shall be provided in both English and French.
  • This Purchase Order is governed by the laws of the Republic of Senegal. Any disputes arising from this Purchase Order shall be resolved through arbitration in Dakar, Senegal, in accordance with the rules of the Centre Arbitral de Dakar.
NOTE TO SUPPLIER: The Oceanographer, Dr. Awa Ndiaye, will be the primary point of contact for all technical queries, delivery coordination, and acceptance testing in Senegal Dakar. Please direct all field-related communications to her office at IROM. The Seller is advised that the port of Dakar may experience seasonal congestion during the harmattan period (December–February); however, the delivery window for this Purchase Order falls outside that period. The Seller is requested to confirm acceptance of this Purchase Order in writing within 10 business days of the issue date.
