This Purchase Order is issued by the Seoul Metropolitan Ocean Research Institute to procure the professional services of a licensed Oceanographer along with specialized oceanographic research equipment. The Oceanographer, Dr. Hana Yoon, will be engaged to conduct comprehensive marine and coastal water quality assessments, hydrographic surveys, and environmental impact studies in and around the Seoul metropolitan area, including the Han River estuary, the coastal waters of Incheon adjacent to South Korea Seoul, and designated marine research zones. All services and equipment deliveries under this Purchase Order shall be executed within the jurisdiction of South Korea Seoul and its immediate coastal territories.
The Oceanographer shall provide expert analysis, data interpretation, and technical reporting in accordance with the standards set forth by the Korea Marine and Fisheries Agency (KMA) and the International Oceanographic Commission (IOC). The scope of work includes but is not limited to: deployment of CTD (Conductivity, Temperature, Depth) profilers, collection of water and sediment samples, acoustic bathymetric mapping, and preparation of a final technical report suitable for submission to the Seoul National Assembly's Environmental Committee.

All equipment listed in this Purchase Order shall be delivered to the SMORI headquarters located in Jung-gu, South Korea Seoul, no later than June 25, 2025. The Oceanographer shall commence field operations on July 1, 2025, and complete all data collection, laboratory analysis, and the final technical report by August 29, 2025. A preliminary progress briefing shall be conducted on July 20, 2025, at the SMORI conference room in South Korea Seoul. The Oceanographer is required to maintain continuous communication with the SMORI project manager throughout the duration of this Purchase Order engagement.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea, with jurisdiction vested in the Seoul Central District Court, South Korea Seoul.
- Payment: Payment of the total amount of KRW 40,590,000 shall be made within thirty (30) calendar days of receipt of the final invoice and acceptance of the completed technical report by the SMORI review board in South Korea Seoul.
- Quality Assurance: The Oceanographer warrants that all data, analyses, and reports produced under this Purchase Order shall meet or exceed the quality standards prescribed by the Korea Marine and Fisheries Agency. Any deficiencies identified during the review period shall be rectified at no additional cost to the Purchaser.
- Intellectual Property: All data, reports, and deliverables generated under this Purchase Order shall become the exclusive property of the Seoul Metropolitan Ocean Research Institute upon full payment. The Oceanographer retains the right to reference the project in academic publications with prior written consent from SMORI.
- Compliance: The Oceanographer shall comply with all applicable environmental regulations, maritime safety codes, and local ordinances in force in South Korea Seoul and the broader metropolitan region during the execution of this Purchase Order.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and marine equipment insurance with a minimum coverage of KRW 100,000,000 for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Oceanographer shall be compensated for all work completed and equipment procured up to the date of termination, as verified by the SMORI project office in South Korea Seoul.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, government mandates, or other events beyond reasonable control, provided that written notice is given within five (5) business days of the occurrence.

The Oceanographer confirms readiness to commence work in South Korea Seoul as per the schedule stated herein. The Purchaser confirms that the funds allocated for this Purchase Order have been approved by the SMORI Board of Directors.
