1. Scope of Work. This Purchase Order authorises the Oceanographer, Dr. James R. Calloway, and his firm Calloway Oceanographic Solutions Ltd. to supply, calibrate, deploy, and operate the oceanographic instruments listed above, and to perform all associated field and laboratory services exclusively within the administrative boundaries of the province of Valencia, Spain. All data collected shall remain the property of the Instituto de Investigación Marina del Mediterráneo.
2. Delivery and Installation. All hardware items (lines 1, 2, 3, and 6) must be delivered to the respective locations in Valencia, Spain, no later than 01 August 2025. The Oceanographer is responsible for final on-site calibration and a 48-hour operational test before the equipment is deemed accepted. Delivery to the Port of Valencia and the Marina de Valencia shall be coordinated with the local harbour master's office in accordance with Spanish maritime regulations.
3. Payment Terms. Payment shall be made in three instalments: 40% upon signature of this Purchase Order, 40% upon successful delivery and acceptance of all equipment in Valencia, Spain, and the remaining 20% upon submission and approval of the final technical report by the Oceanographer. All payments shall be processed via bank transfer to the account specified by the Oceanographer, with reference to PO-VAL-2025-00472. Invoices must be issued in accordance with Spanish fiscal law (Ley 58/2003, General Tax Law) and include the vendor's NIF.
4. Compliance and Permits. The Oceanographer shall ensure that all field operations in the waters of the Gulf of Valencia comply with the applicable Spanish and European environmental legislation, including the Ley de Costas (Coastal Law) and the EU Marine Strategy Framework Directive. Any required permits from the Autoridad Portuaria de Valencia or the Conselleria d'Infraestructures, Territori i Mobilitat shall be obtained at the Oceanographer's expense prior to the commencement of fieldwork.
5. Insurance and Liability. The Oceanographer shall maintain comprehensive marine and professional liability insurance with a minimum coverage of 500,000 EUR for the duration of the contract. The insurance policy shall name the Instituto de Investigación Marina del Mediterráneo as an additional insured party. All operations conducted in the waters off Valencia, Spain, shall be performed in strict adherence to the safety protocols established by the Spanish Maritime Safety Agency (Dirección General de la Marina Mercante).
6. Intellectual Property and Data. All raw and processed data, maps, and reports generated under this Purchase Order shall be delivered to the purchasing institution in open, non-proprietary formats (GeoTIFF, NetCDF, CSV) within 30 days of the completion of fieldwork in Valencia, Spain. The Oceanographer retains the right to publish aggregated, anonymised findings in peer-reviewed journals, subject to a 60-day prior review by the Instituto.
7. Dispute Resolution. Any dispute arising from this Purchase Order shall be resolved under the jurisdiction of the courts of Valencia, Spain, in accordance with the Spanish Civil Code and the applicable provisions of the Spanish Commercial Code (Código de Comercio).
8. Validity. This Purchase Order is valid for a period of 90 days from the date of issue. If the Oceanographer does not accept the terms in writing within 15 business days, this document shall lapse automatically.
