All Oceanographer equipment covered under this Purchase Order shall be delivered, unpacked, installed, and commissioned at the Zurich Institute of Oceanographic Sciences premises at Bahnhofstrasse 142, 8001 Switzerland Zurich. The supplier is responsible for all transportation, customs clearance (if applicable for imported sub-components), insurance, and on-site installation within Switzerland Zurich. Delivery is scheduled no later than 15 August 2025. The supplier must provide a minimum of ten (10) business days' written notice prior to delivery to the Zurich facility. All packaging materials must comply with Swiss environmental regulations (VSEPA) and be removed from the site upon completion of installation.
Payment for this Purchase Order shall be made in Swiss Francs (CHF) via bank transfer to the account specified in Section 2. The payment schedule is as follows:
- 30% advance payment (CHF 211,404.33) due within fourteen (14) calendar days of the buyer's written acceptance of this Purchase Order.
- 50% progress payment (CHF 352,340.55) due upon confirmed delivery and successful installation of the Oceanographer system at the Zurich site.
- 20% final payment (CHF 140,936.22) due within thirty (30) calendar days following the completion of the 5-day operator training programme and the buyer's written sign-off on the final acceptance report.
Late payments shall incur interest at the rate of 5% per annum, calculated on a daily basis, in accordance with Swiss Code of Obligations (OR) Article 104.
- This Purchase Order is governed by the laws of the Swiss Confederation. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Switzerland Zurich, unless otherwise agreed in writing by both parties.
- The Oceanographer equipment is warranted by the supplier for a period of twenty-four (24) months from the date of final acceptance. The warranty covers all manufacturing defects, component failures, and software malfunctions under normal laboratory and field-research operating conditions in Switzerland Zurich.
- The supplier shall provide full technical documentation, including user manuals, calibration certificates, safety data sheets (SDS), and regulatory compliance certificates (CE, ISO 17025) for every Oceanographer component listed in Section 3.
- The buyer reserves the right to inspect and test all Oceanographer equipment upon arrival at the Zurich facility. Any item found to be damaged, incomplete, or non-conforming to the specifications stated in this Purchase Order shall be replaced or repaired at the supplier's sole expense within fifteen (15) business days.
- The supplier shall not subcontract any portion of the delivery, installation, or training obligations without the prior written consent of the buyer. All personnel entering the Zurich Institute premises must comply with the institute's health, safety, and security protocols.
- Intellectual property: All proprietary software, firmware, and data-processing algorithms contained within the Oceanographer system remain the exclusive property of the supplier. The buyer is granted a perpetual, non-transferable, site-licensed right to use such software solely at the Switzerland Zurich facility for the duration of the equipment's operational life.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government sanctions, or transport disruptions affecting the Switzerland Zurich region, provided that the affected party notifies the other in writing within five (5) business days.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether oral or written.
