1. Purchase Order Reference & Scope

This Purchase Order is issued by Meridian Scientific Procurement Ltd, operating from Birmingham, United Kingdom, to Oceanographer Marine Research Division Ltd for the supply of specialised oceanographic instrumentation, field research equipment, and associated technical services. 3. Delivery & Logistics

All equipment and materials referenced in this Purchase Order shall be delivered to the Buyer's premises at Unit 7, Harborne Industrial Estate, Birmingham, B15 2TN, United Kingdom. The Seller, Oceanographer Marine Research Division Ltd, shall ensure that all oceanographic instruments are transported in accordance with manufacturer guidelines, fully insured against loss or damage in transit, and accompanied by complete documentation including certificates of calibration, user manuals, and warranty registration forms. The agreed delivery date is no later than 22 August 2025. Delivery shall be made between the hours of 08:00 and 16:00 (GMT/BST) on a business day. The Buyer shall provide a minimum of 48 hours' written notice prior to the scheduled delivery date to confirm site readiness in Birmingham.

4. Payment Terms

Payment for this Purchase Order shall be made in accordance with the following schedule: (a) 30% advance deposit of £90,810.00 (inclusive of VAT) due within 14 calendar days of the date of this Purchase Order; (b) 50% progress payment of £151,350.00 (inclusive of VAT) due upon confirmed delivery and acceptance of all equipment at the Birmingham, United Kingdom site; (c) 20% final balance of £60,540.00 (inclusive of VAT) due within 30 days of completion of installation, calibration, and operator training services. All payments shall be made by direct bank transfer to the Seller's designated account. Late payments shall attract interest at a rate of 2% per month above the Bank of England base rate, calculated on a daily basis. The Buyer reserves the right to withhold payment for any items found to be non-conforming with the specifications stated in this Purchase Order.

5. Terms & Conditions
  1. This Purchase Order is subject to the standard terms and conditions of Oceanographer Marine Research Division Ltd as amended by the specific provisions set out herein. In the event of any conflict, the terms of this Purchase Order shall prevail.
  2. All oceanographic equipment supplied under this Purchase Order shall be new, unused, and in full compliance with the relevant British Standards (BS) and International Maritime Organisation (IMO) regulations applicable in the United Kingdom.
  3. The Seller warrants that all equipment shall be free from defects in materials and workmanship for a minimum period of 24 months from the date of delivery in Birmingham, United Kingdom.
  4. The Seller shall provide full technical support and a dedicated account manager based in the Birmingham, United Kingdom region for the duration of the maintenance contract.
  5. Neither party shall be liable for delays or failures in performance caused by acts of God, war, terrorism, government sanctions, or other force majeure events beyond their reasonable control.
  6. All intellectual property rights in the Oceanographer proprietary software and firmware shall remain the exclusive property of Oceanographer Marine Research Division Ltd. The Buyer is granted a non-transferable, non-exclusive licence to use such software solely in connection with the equipment purchased under this Purchase Order.
  7. This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
  8. Confidentiality: Both parties agree to treat all commercial, technical, and operational information exchanged in connection with this Purchase Order as strictly confidential and shall not disclose such information to third parties without prior written consent.
  9. Any amendments or variations to this Purchase Order must be made in writing and signed by authorised representatives of both parties to be valid and enforceable.
6. Acceptance & Signatures

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications contained within this Purchase Order. This document is executed in Birmingham, United Kingdom, and represents the complete and final agreement between the parties with respect to the subject matter herein, superseding all prior negotiations, representations, and agreements.
