2. Purpose and Scope of This Purchase Order

This Purchase Order is issued by Marine Research & Oceanographic Solutions Ltd. to procure specialised oceanographic instrumentation, sensor arrays, and analytical equipment required for the ongoing research programme led by our principal Oceanographer, Dr. Marcus Chen, PhD. The equipment specified herein is intended to support deep-water marine survey operations, water column profiling, and benthic habitat assessment conducted from our operational base in United Kingdom London. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties, and all terms, conditions, and specifications set forth in this document shall govern the transaction.

4. Delivery and Installation

All goods specified in this Purchase Order shall be delivered to the Buyer's operational facility at 12 Harbour View Road, Southwark, London SE1 5AB, United Kingdom, no later than 29 August 2025. The Supplier shall be responsible for all transportation, insurance, and risk of loss until the goods are received and signed for by the Buyer's designated representative in United Kingdom London. Installation and initial commissioning of all equipment shall be completed within ten (10) working days of delivery. The Supplier's technical team shall coordinate with our lead Oceanographer, Dr. Marcus Chen, to ensure all systems are configured to meet the specific research parameters of the ongoing North Sea and English Channel survey programme.

5. Payment Terms

  • Payment Schedule: 30% deposit (GBP 76,986.00) due upon execution of this Purchase Order; 60% (GBP 153,972.00) due upon delivery and acceptance of all goods at the United Kingdom London site; 10% (GBP 25,662.00) due upon successful completion of the training programme and final sign-off by the Oceanographer team.
  • Payment Method: All payments shall be made by bank transfer to the Supplier's designated account. Reference number "PO UK-LON-2025-04782" must be included with every transaction.
  • Due Date: All invoices are payable within thirty (30) calendar days of the date of invoice. Late payments shall attract interest at a rate of 2% per month above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Currency: All amounts are quoted and payable in British Pounds Sterling (GBP).

6. Terms and Conditions

  • 6.1 This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
  • 6.2 The Supplier warrants that all equipment supplied under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery.
  • 6.3 The Supplier shall provide full technical documentation, user manuals, and calibration certificates for all oceanographic instruments. All data outputs shall be compatible with standard Oceanographer research software platforms including CTD-Pro, Qimera, and Ocean Data View.
  • 6.4 The Buyer reserves the right to inspect all goods upon delivery. Any items found to be damaged, incomplete, or not conforming to the specifications outlined in this Purchase Order shall be rejected, and the Supplier shall replace or repair such items within fourteen (14) working days at no additional cost.
  • 6.5 The Supplier shall maintain full professional indemnity and public liability insurance with a minimum cover of GBP 5,000,000 throughout the duration of this Purchase Order and for two years thereafter.
  • 6.6 Neither party shall be liable for failure to perform its obligations under this Purchase Order to the extent that such failure is caused by force majeure events, including but not limited to acts of God, war, terrorism, or government-imposed restrictions affecting operations in United Kingdom London or elsewhere.
  • 6.7 All intellectual property rights in any custom configurations, software modifications, or research methodologies developed specifically for the Oceanographer programme under this Purchase Order shall vest in the Buyer upon full payment.
  • 6.8 This Purchase Order may not be assigned or sub-contracted by the Supplier without the prior written consent of the Buyer.

7. Acceptance and Authorisation

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order. This document, together with any attached schedules or annexes, constitutes the entire agreement between the parties with respect to the procurement of oceanographic equipment and services described herein.
