- This Purchase Order is issued by Dr. Sarah Mitchell Ophthalmology Centre, a registered Ophthalmologist practice operating in Australia Melbourne, Victoria, and constitutes a binding offer to purchase the goods and services described herein upon acceptance by the Supplier.
- All equipment must comply with the Therapeutic Goods Administration (TGA) regulations of Australia and carry valid Australian registration numbers prior to delivery at the Melbourne premises.
- Delivery shall be made to the Ophthalmologist's clinic at 285 Collins Street, Melbourne VIC 3000, between 08:00 and 16:00 AEST on a business day, no later than 28 June 2025. The Supplier is responsible for all freight, insurance, and risk of loss until goods are received and signed for by the Ophthalmologist or authorised clinic manager.
- Payment shall be made by Electronic Funds Transfer (EFT) to the Supplier's nominated Australian bank account within thirty (30) calendar days of the date of the Supplier's tax invoice, in accordance with the payment terms stated on this Purchase Order.
- All capital equipment is subject to the manufacturer's warranty as specified in the Line Items table. The Supplier shall coordinate all warranty claims and provide on-site service in Australia Melbourne within five (5) business days of a reported fault.
- The Supplier warrants that all goods are new, unused, free from defects, and fit for the intended ophthalmic diagnostic and therapeutic purposes as prescribed by the Ophthalmologist.
- Any variation to this Purchase Order, including changes to scope, quantity, delivery date, or pricing, must be agreed in writing by both parties prior to execution. No verbal amendments are binding.
- This Purchase Order is governed by the laws of the State of Victoria, Australia. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the courts of Australia Melbourne.
- The Supplier shall provide a full installation report, calibration certificates, and operator training documentation for all capital equipment to the Ophthalmologist within seven (7) days of installation completion.
- Confidentiality: Both parties agree to maintain the confidentiality of all clinical, financial, and operational information exchanged in connection with this Purchase Order in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
Upon delivery to the Australia Melbourne clinic, the Ophthalmologist or designated clinic staff shall inspect all items for visible damage, completeness, and conformity with the specifications listed in this Purchase Order. Acceptance shall be confirmed in writing within five (5) business days of delivery. Failure to notify the Supplier of any discrepancy within this period shall constitute deemed acceptance of the goods.
