TERMS AND CONDITIONS
  1. This Purchase Order is issued by Alexandria Medical Supplies & Equipment Co. for the exclusive procurement of ophthalmic equipment and consumables to be delivered to the practice of the named Ophthalmologist, Dr. Mahmoud El-Sayed Hassan, located in Egypt Alexandria. All items must comply with the Egyptian Ministry of Health (MOH) regulatory standards and the Egyptian Organization for Standardization and Quality (EOS) certifications.
  2. The Ophthalmologist's practice in Egypt Alexandria shall serve as the primary delivery and installation site. All large equipment (Items 01, 02, 04, 05, and 07) must be delivered, installed, calibrated, and tested on-site by certified technicians at the Alexandria Vision & Eye Care Center, Mansheya District, Egypt Alexandria, no later than 30 June 2025.
  3. Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and successful installation inspection. Payment will be processed via bank transfer to the supplier's designated account registered with the Central Bank of Egypt. The Purchase Order number PO-EGY-ALX-2025-04872 must be referenced on all invoices and payment documents.
  4. All equipment is warranted for a minimum of twenty-four (24) months from the date of installation. The Ophthalmologist's practice in Egypt Alexandria shall be entitled to on-site technical support and spare parts availability for the duration of the warranty period. Consumable items (Items 08 through 12) carry a twelve (12) month shelf-life guarantee from the date of delivery.
  5. The supplier acknowledges that this Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts in Egypt Alexandria, or by arbitration under the rules of the Egyptian Arbitration Center, with proceedings conducted in the Arabic language.
  6. The Ophthalmologist, as the end-user and clinical operator of all procured equipment, assumes responsibility for the proper clinical use, maintenance scheduling, and regulatory compliance of all items listed in this Purchase Order in accordance with the Egyptian Medical Syndicate guidelines and the Alexandria Regional Health Authority directives.
  7. Delivery is subject to DDP (Delivered Duty Paid) terms as per Incoterms 2020, with the named place of delivery being the Ophthalmologist's clinic address in Egypt Alexandria. All customs clearance, import duties, and local transport within the Alexandria Governorate are the responsibility of the supplier.
  8. This Purchase Order becomes effective upon signature by both parties. No modification, amendment, or cancellation of this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both Alexandria Medical Supplies & Equipment Co. and the Ophthalmologist's practice.
  9. The supplier shall provide a comprehensive training session for the Ophthalmologist and clinical staff at the Egypt Alexandria practice location, covering the operation, maintenance, and safety protocols of all major equipment items listed herein. Training materials shall be provided in both Arabic and English.
