All physical equipment referenced in this Purchase Order shall be delivered to the CHU Lyon Ophthalmology Department premises at 1 Place d’Arsonval, 69003 Lyon, France, no later than 30 August 2025. The Ophthalmologist consultant service contract (Item 04) shall commence on 1 September 2025 and run through 31 August 2026. Installation and training (Item 07) must be completed within ten (10) business days of equipment delivery. The supplier shall coordinate all logistics within the France Lyon metropolitan area and ensure compliance with French medical device import and installation regulations.
6. Terms & Conditions6.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France.
6.2 The supplier warrants that all Ophthalmologist equipment supplied is new, unused, and fully compliant with CE marking requirements under the European Medical Device Regulation. All devices must carry valid French regulatory authorization from the ANSM (Agence Nationale de Sécurité du Médicament).
6.3 Payment shall be made via bank transfer (virement bancaire) to the supplier’s designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code.
6.4 The Ophthalmologist consultant engaged under Item 04 must hold a valid French medical license (Inscription au Conseil National de l’Ordre des Médecins) and maintain professional liability insurance with a minimum coverage of €5,000,000 per claim.
6.5 The supplier shall provide a three-year comprehensive warranty on all Ophthalmologist diagnostic and surgical equipment. During the warranty period, any defective component shall be repaired or replaced at no additional cost to the buyer within fifteen (15) business days of notification.
6.6 All data generated by the Ophthalmologist diagnostic software (Item 05) shall remain the exclusive property of CHU Lyon. The supplier shall comply with the French Data Protection Act and the EU General Data Protection Regulation (GDPR) in handling any patient-related information.
6.7 This Purchase Order may be amended only by mutual written agreement signed by both parties. No oral modification shall be binding.
6.8 In the event of non-delivery or non-performance, the buyer reserves the right to terminate this Purchase Order with immediate effect and claim damages in accordance with French civil law.
