This Purchase Order is issued by the Centre Hospitalier Ophthalmologique de Paris (hereinafter referred to as the "Buyer") to Dr. Claire Fontaine, a licensed and registered Ophthalmologist practising in France Paris (hereinafter referred to as the "Supplier" or "Ophthalmologist"), for the provision of specialised ophthalmological clinical services, diagnostic consultations, and the supply of associated medical equipment and consumables. This Purchase Order is governed by the laws of the French Republic and shall be interpreted in accordance with the regulatory framework established by the Agence Régionale de Santé (ARS) Île-de-France and the national health authority in France Paris.

- Acceptance: This Purchase Order shall be deemed accepted by the Ophthalmologist upon written confirmation (email or signed copy) returned to the Buyer within five (5) business days of the issue date. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Performance Period: All services and goods specified in this Purchase Order shall be delivered and rendered between 01 August 2025 and 31 January 2026, unless otherwise agreed in writing by both parties. The Ophthalmologist shall ensure that all clinical procedures are conducted in full compliance with the French Public Health Code (Code de la Santé Publique) and the professional ethics code of the Ordre des Médecins in France Paris.
- Payment Terms: Payment shall be made by bank transfer (virement bancaire) to the account designated by the Ophthalmologist within thirty (30) days of receipt of a valid invoice (facture) conforming to French tax regulations (Article 286 of the Code Général des Impôts). The Buyer reserves the right to withhold payment for any services not rendered to the standard specified in this Purchase Order.
- Quality & Compliance: The Ophthalmologist warrants that all services shall be performed in accordance with the highest clinical standards recognised in France Paris and the broader European Union. All equipment supplied shall bear the CE marking and comply with the Medical Devices Regulation (EU) 2017/745. The Ophthalmologist shall maintain valid professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000 throughout the performance period.
- Confidentiality & Data Protection: The Ophthalmologist shall handle all patient data in strict accordance with the French Data Protection Act (Loi Informatique et Libertés) and the General Data Protection Regulation (GDPR). No patient information shall be disclosed to any third party without explicit written consent, in compliance with the provisions applicable in France Paris.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and goods delivered up to the effective date of termination. The Ophthalmologist shall ensure a smooth transition of all ongoing patient care to a successor Ophthalmologist approved by the Buyer.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved amicably. Failing amicable resolution within sixty (60) days, the dispute shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris, in accordance with French procedural law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, government mandates, or strikes affecting healthcare delivery in France Paris.
This Purchase Order is authorised and issued by the undersigned on behalf of the Centre Hospitalier Ophthalmologique de Paris. The Ophthalmologist, Dr. Claire Fontaine, acknowledges receipt and acceptance of this Purchase Order by signing below, thereby agreeing to all terms, conditions, and specifications set forth herein for the provision of ophthalmological services in France Paris.
