- This Purchase Order is issued by NetraVision Eye Care Hospital, Mumbai, India, and constitutes a binding agreement for the procurement of ophthalmic services and supplies as detailed above. The Ophthalmologist, Dr. Ananya Deshmukh, hereby accepts the scope of work and deliverables specified in this document.
- All services shall be rendered at the NetraVision facility located in Bandra West, Mumbai, Maharashtra, India, or at the Ophthalmologist's clinic in Vile Parle (West), Mumbai, as mutually agreed upon for each line item. No services shall be performed outside the geographical boundaries of the Mumbai metropolitan region without prior written approval.
- The Ophthalmologist shall maintain valid medical registration with the Maharashtra Medical Council and the National Medical Commission of India throughout the duration of this Purchase Order. Any lapse in registration shall render this Purchase Order immediately voidable at the sole discretion of the purchasing entity.
- Payment shall be processed within thirty (30) calendar days from the date of receipt of a valid GST-compliant tax invoice. Payment shall be made via NEFT/RTGS to the bank account designated by the Ophthalmologist. The bank details are: HDFC Bank, Vile Parle Branch, Mumbai – A/C No. 50200045678912, IFSC: HDFC0000456.
- The Ophthalmologist shall adhere to all clinical protocols, sterilisation standards (as per NABH and CMC Mumbai guidelines), and patient-safety regulations applicable in India. All surgical procedures shall be documented in the hospital's electronic medical record system.
- Confidentiality: All patient data, clinical records, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential in compliance with the Digital Personal Data Protection Act, 2023, and applicable Indian medical ethics codes. The Ophthalmologist shall not disclose any patient information to third parties without written consent.
- Liability & Insurance: The Ophthalmologist shall maintain a valid professional indemnity insurance policy with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) per occurrence. A copy of the insurance certificate shall be submitted to the procurement department prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, all services rendered up to the date of termination shall be invoiced and paid in accordance with the payment terms stated herein.
- Dispute Resolution: Any disputes arising out of or in connection with this Purchase Order shall be resolved through arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English.
- This Purchase Order is governed by the laws of India. The jurisdiction of the courts in Mumbai, Maharashtra, India, shall be exclusively applicable for any legal proceedings.
- The Ophthalmologist warrants that all consumables and supplies (Line Item 6) shall be of genuine, manufacturer-approved quality and shall carry valid batch numbers, manufacturing dates, and expiry dates. Substandard or expired materials shall be rejected at the Ophthalmologist's cost.
