- This Purchase Order is issued by Dr. Arjun Mehta Ophthalmic Centre, located in India New Delhi, and constitutes a binding agreement upon acceptance by the supplier. All ophthalmic equipment and consumables listed herein are procured specifically for the use of the resident Ophthalmologist and his clinical team.
- The supplier shall deliver all items to the designated address in India New Delhi within 30 calendar days from the date of this Purchase Order. Delivery shall be made DAP (Delivered at Place) to the Ophthalmologist's clinic premises at Connaught Place, New Delhi.
- All diagnostic and surgical equipment must carry a minimum manufacturer's warranty of 24 months. The Ophthalmologist reserves the right to reject any item that does not meet the specified clinical standards or fails the initial calibration test conducted by the Ophthalmologist's biomedical engineer.
- Payment shall be made within 30 days of receipt of a valid GST invoice and confirmed delivery. Payment will be processed via NEFT/RTGS to the supplier's registered bank account. No advance payment is authorized under this Purchase Order.
- The supplier is responsible for the installation, commissioning, and initial calibration of all capital equipment at the Ophthalmologist's facility in India New Delhi. Installation must be completed within 7 working days of physical delivery.
- The annual maintenance contract (Line Item 7) shall commence upon successful installation and shall include quarterly preventive visits, 24-hour response time for breakdowns, and priority spare-parts availability for the Ophthalmologist's equipment fleet.
- The training engagement (Line Item 8) shall be conducted at the Ophthalmologist's clinic in India New Delhi. The supplier shall provide certified ophthalmic technicians to train a minimum of 8 clinical staff members on the operation and basic troubleshooting of the newly installed equipment.
- Any deviation from the specifications stated in this Purchase Order must be communicated in writing to the Ophthalmologist's procurement office at least 10 working days prior to the scheduled delivery date. Unauthorized substitutions will result in rejection of the affected items.
- This Purchase Order is governed by the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India. The Ophthalmologist's centre and the supplier agree to attempt mediation before initiating any legal proceedings.
- All consumable items (IOLs, viscoelastic agents) must be within 12 months of their manufacturing date at the time of delivery. The Ophthalmologist's quality assurance team will verify batch numbers and expiry dates upon receipt in India New Delhi.
- This Purchase Order may be amended only by mutual written consent of both parties. Verbal modifications are not valid. Any change in scope, quantity, or pricing must be documented as a Purchase Order amendment and signed by both the Ophthalmologist's authorized signatory and the supplier's representative.
