1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by Al-Rafidain Ophthalmology Center, a licensed ophthalmic medical facility operating in Iraq Baghdad, to procure specialized ophthalmological equipment, diagnostic instruments, surgical consumables, and professional services required for the continued operation of our Ophthalmologist-led clinical departments. This Purchase Order covers the procurement cycle for the second quarter of 2025 and is governed by the commercial laws of the Republic of Iraq, specifically the Iraqi Commercial Code and the regulations issued by the Ministry of Health of Iraq regarding medical equipment procurement in Baghdad and its surrounding districts.

The undersigned Ophthalmologist, Dr. Hassan Al-Karawi, has reviewed and approved all line items listed in this Purchase Order to ensure they meet the clinical standards required for comprehensive eye care delivery in Iraq Baghdad. 3. DELIVERY AND LOGISTICS

All items specified in this Purchase Order shall be delivered to the Al-Rafidain Ophthalmology Center premises located in the Al-Mansour District of Baghdad, Iraq. The supplier is responsible for arranging international freight from the United Arab Emirates to the port of Umm Qasr or the Baghdad International Airport, including all customs clearance procedures required by the Iraqi General Commission for Customs Affairs. Delivery is expected no later than 30 August 2025. The Ophthalmologist and the center's biomedical engineering team will conduct a joint inspection upon arrival to verify that all equipment is undamaged, fully functional, and accompanied by valid certificates of origin, CE/US FDA markings, and Iraqi Ministry of Health import permits.

4. PAYMENT TERMS
  • 40% Advance Payment: USD 271,586.28 due within 10 business days of acceptance of this Purchase Order, payable via irrevocable Letter of Credit through a licensed Iraqi bank (e.g., Bank of Baghdad or Central Bank of Iraq).
  • 50% on Delivery and Inspection: USD 339,482.85 payable within 15 business days following successful inspection and acceptance by the Ophthalmologist and the center's procurement committee in Baghdad.
  • 10% Retention: USD 67,896.57 payable 90 days after delivery, contingent upon satisfactory performance of the equipment during the initial operational period and completion of the training program.
  • All payments shall be made in United States Dollars (USD) via wire transfer to the supplier's designated account. Late payments shall incur a penalty of 1.5% per month as stipulated under Iraqi commercial law.
5. TERMS AND CONDITIONS
  • This Purchase Order is subject to the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law.
  • The supplier warrants that all ophthalmological equipment and consumables are new, unused, and free from defects for a minimum period of 24 months from the date of delivery in Iraq Baghdad.
  • The Ophthalmologist, Dr. Hassan Al-Karawi, reserves the right to reject any item that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced at the supplier's sole expense within 30 days.
  • The supplier shall provide a comprehensive warranty and after-sales support agreement, including a dedicated technical support line accessible from Baghdad, Iraq, with a maximum response time of 24 hours for critical equipment failures.
  • All pharmaceutical items (IOLs, viscoelastic agents, anti-VEGF injections) must be shipped under a validated cold-chain protocol at 2–8°C and must retain a minimum of 18 months shelf life upon arrival in Baghdad.
  • This Purchase Order does not constitute a long-term supply agreement. Any future procurement by the Ophthalmologist or the center will be subject to a separate Purchase Order and competitive bidding process as required by Iraqi public and private sector procurement regulations.
  • Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and clinical data associated with this Purchase Order. No information shall be disclosed to third parties without written consent.
IMPORTANT NOTE: This Purchase Order is issued exclusively for the use of the Al-Rafidain Ophthalmology Center in Iraq Baghdad.
