1. Scope of Purchase Order: This Purchase Order is issued by Clinique Oculaire d'Abidjan for the procurement of ophthalmic diagnostic equipment, surgical instruments, and consumable supplies required for the practice of Dr. Kouassi N'Guessan, Ophthalmologist, located in Ivory Coast Abidjan. All items listed herein are intended to support the Ophthalmologist's clinical, diagnostic, and surgical operations within the Abidjan metropolitan area.
2. Delivery Terms: All goods covered under this Purchase Order shall be delivered to the Ophthalmologist's clinic at Boulevard de Vridi, Cocody, Abidjan, Ivory Coast, within thirty (30) calendar days from the date of acceptance of this Purchase Order. Delivery shall be made between 08:00 and 16:00 local time. The supplier is responsible for all transportation, insurance, and customs clearance within Ivory Coast Abidjan.
3. Payment Terms: Payment shall be made in CFA Francs (XOF) via bank transfer to the supplier's designated account. A 40% advance payment is due upon signing of this Purchase Order. The remaining 60% shall be paid within fifteen (15) days following successful delivery, installation, and acceptance of all items by the Ophthalmologist. Late payments shall incur a penalty of 1.5% per month as per Ivory Coast commercial law.
4. Quality & Compliance: All equipment and supplies must comply with the regulatory standards set by the Direction de la Pharmacie et du Médicament (DPM) of the Republic of Côte d'Ivoire. The Ophthalmologist reserves the right to reject any item that does not meet the specified technical parameters or lacks the required CE marking and Ivorian import certification.
5. Warranty: The supplier guarantees a minimum of two (2) years of manufacturer warranty on all capital equipment (items 1, 2, 5, 6, and 10) and twelve (12) months on all consumables. Warranty service shall be provided on-site in Abidjan, Ivory Coast, within 48 hours of a reported defect.
6. Installation & Training: The supplier shall provide full installation of all major equipment at the Ophthalmologist's clinic in Abidjan and shall conduct a minimum of eight (8) hours of hands-on training for the Ophthalmologist's clinical staff. Training materials shall be provided in both French and English.
7. Cancellation & Modification: This Purchase Order may be modified or cancelled only by mutual written agreement between the Ophthalmologist's practice and the supplier. Cancellation after the advance payment has been made shall result in a 10% administrative fee being deducted from the refund.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast.
9. Acceptance: By signing below, both parties acknowledge and agree to all terms stated in this Purchase Order. This document constitutes a binding agreement for the procurement of ophthalmic goods and services for the Ophthalmologist's practice in Ivory Coast Abidjan.
