1. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by Al-Nour Vision Care Center, a licensed ophthalmic facility operating in Kuwait Kuwait City, to formally request and authorize the procurement of specialized ophthalmological equipment, diagnostic instruments, and professional services required for the practice of our senior Ophthalmologist, Dr. Fahad Al-Mutairi. This Purchase Order governs the acquisition of items and services that will support comprehensive eye care, surgical procedures, and patient diagnostics within the Ophthalmology Department. All transactions referenced in this Purchase Order shall be conducted in accordance with the commercial laws of the State of Kuwait and the regulatory standards set forth by the Kuwait Ministry of Health.

All equipment and materials referenced in this Purchase Order shall be delivered to the Al-Nour Vision Care Center premises located in Kuwait Kuwait City within thirty (30) calendar days from the date of acceptance of this Purchase Order. The supplier, Gulf Advanced Ophthalmic Solutions LLC, shall be responsible for all shipping, insurance, customs clearance, and installation costs. Installation of the OCT scanner and phacoemulsification system must be completed and certified by a qualified biomedical engineer before the Ophthalmologist may commence clinical use. The supplier shall provide a minimum of two (2) hours of on-site operator training for the Ophthalmologist and assisting clinical staff prior to final handover.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in the following schedule: (a) Forty percent (40%) of the total amount, equivalent to KWD 59,409.00, shall be due upon signing and acceptance of this Purchase Order; (b) Fifty percent (50%), equivalent to KWD 74,261.25, shall be due upon confirmed delivery and successful installation of all equipment at the Kuwait Kuwait City facility; and (c) The remaining ten percent (10%), equivalent to KWD 14,852.25, shall be due upon completion of the annual maintenance contract activation and submission of all warranty documentation. All payments shall be made via bank transfer to the supplier's designated account in Kuwait Kuwait City. Late payments shall incur a penalty of 1.5% per month as stipulated under Kuwaiti commercial law.
5. QUALITY ASSURANCE AND WARRANTYThe supplier warrants that all ophthalmic equipment and consumables delivered under this Purchase Order shall be new, unused, and in full compliance with the Kuwait Ministry of Health medical device registration requirements. Each piece of equipment shall carry a minimum manufacturer warranty of twenty-four (24) months from the date of installation. The Ophthalmologist and clinical team at Al-Nour Vision Care Center reserve the right to inspect and reject any item that does not meet the specifications outlined in this Purchase Order. Rejected items must be replaced within fourteen (14) days at no additional cost to the buyer.
6. GENERAL TERMS AND CONDITIONS- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the State of Kuwait, including the Kuwait Commercial Code and the Kuwait Public Health Law.
- Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait Kuwait City, or by arbitration under the Kuwait Dispute Resolution Center if both parties agree in writing.
- The supplier shall maintain full professional liability insurance coverage of no less than KWD 500,000 for the duration of this Purchase Order and the warranty period.
- Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of ophthalmological equipment and services described herein and supersedes all prior negotiations, representations, or agreements.
- Confidentiality: All patient data, clinical protocols, and proprietary information shared in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization from the Ophthalmologist and the Chief Executive Officer of Al-Nour Vision Care Center.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies declared in Kuwait Kuwait City.
By signing below, the authorized representatives of both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. This Purchase Order becomes effective upon the execution of signatures by both the buyer and the seller.
