- This Purchase Order is issued by Clinique Oculaire du Maroc, located in Morocco Casablanca, and is addressed to the designated Ophthalmologist, Dr. Youssef El Amrani, for the procurement of ophthalmic diagnostic and surgical equipment as itemized above.
- All goods shall be delivered to the clinic premises at 12, Boulevard Mohammed V, Quartier Gauthier, Morocco Casablanca 20250, no later than 30 June 2025. Delivery shall be DAP (Delivered at Place) as per Incoterms 2020.
- The Ophthalmologist recipient shall inspect all items upon arrival and sign the delivery receipt within 48 hours. Any discrepancies, damages, or missing items must be reported in writing to the procurement department within five (5) business days of delivery.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of the invoice, in accordance with Moroccan commercial law (Code de Commerce du Maroc). The total amount due is Three Million Two Hundred Ninety-Two Thousand Six Hundred Eighty Moroccan Dirhams (MAD 3,292,680.00), inclusive of 20% VAT as mandated by the Direction Générale des Impôts, Casablanca.
- All medical devices and equipment listed in this Purchase Order must comply with the regulatory standards set by the Agence Nationale de Réglementation de la Santé (ANRS) and the Moroccan Ministry of Health. CE marking or equivalent certification is mandatory for all imported ophthalmic instruments.
- The supplier shall provide a minimum of three (3) years of manufacturer warranty on all capital equipment (items 1, 2, 4, 5, 9, and 10). Warranty service must be available within the Morocco Casablanca metropolitan area with a maximum response time of 48 hours.
- Training for the Ophthalmologist and clinical staff on the operation, maintenance, and safety protocols of the Alcon Centurion Phacoemulsification System and the Zeiss Cirrus HD-OCT shall be provided at no additional cost, as specified in the line-item remarks.
- This Purchase Order is governed by the laws of the Kingdom of Morocco. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Commercial Court of Casablanca.
- The Ophthalmologist shall ensure that all procured consumables (IOLs, eye drops, fluorescein) are stored in accordance with the manufacturer's instructions and within the temperature and humidity parameters suitable for the Morocco Casablanca climate.
- Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be binding. This document constitutes the entire agreement between the parties regarding the procurement described herein.
