Terms and Conditions – Purchase Order for Ophthalmologist Services in Netherlands Amsterdam
- This Purchase Order is issued in accordance with the Dutch Civil Code (Burgerlijk Wetboek) Book 7, Title 7 (Huur en Leasing) and applicable healthcare procurement regulations governing the provision of Ophthalmologist services within the municipality of Amsterdam, Netherlands.
- The Ophthalmologist, Dr. Hendrik van der Berg, MD, shall perform all clinical services in full compliance with the Dutch Medical Council (Orde van Artsen) guidelines, the BIG registration requirements, and the specific protocols established by the Amsterdam Regional Healthcare Consortium for ophthalmic care delivery.
- All services rendered under this Purchase Order shall take place at the Amsterdam Eye & Vision Center, Keizersgracht 218, Amsterdam, Netherlands, or at such other approved facility within the Netherlands Amsterdam metropolitan area as mutually agreed upon in writing.
- Payment terms: Net 30 days from the date of invoice receipt. Payment shall be made via SEPA bank transfer to the account designated by the Ophthalmologist's practice. Late payments shall accrue interest at the statutory Dutch rate (wettelijke rente) as defined in Article 6:119a of the Dutch Civil Code.
- The Ophthalmologist warrants that all surgical and diagnostic procedures shall be performed to the standard of care expected of a board-certified Ophthalmologist in the Netherlands, and that all equipment used shall be CE-marked and compliant with EU Medical Device Regulation (MDR) 2017/745.
- Confidentiality: All patient data processed under this Purchase Order shall be handled in strict accordance with the Dutch Implementation Act GDPR (Uitvoeringswet AVG) and the General Data Protection Regulation (EU) 2016/679. The Ophthalmologist shall not disclose any patient information to third parties without explicit written consent.
- Insurance: The Ophthalmologist shall maintain professional liability insurance (beroepsaansprakingsverzekering) with a minimum coverage of €5,000,000 per claim, valid throughout the duration of this Purchase Order. A certificate of insurance shall be provided upon request.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Ophthalmologist shall complete all scheduled procedures already booked and shall be compensated for services rendered up to the termination date.
- Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Amsterdam, Netherlands, in accordance with the rules of the Netherlands Mediation Institute (NMI). If mediation fails, the courts of Amsterdam, Netherlands shall have exclusive jurisdiction.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Ophthalmologist services and related equipment in Netherlands Amsterdam and supersedes all prior negotiations, representations, or agreements.
