- This Purchase Order is issued by Lagos Vision Care & Ophthalmology Centre Ltd., a duly registered medical facility operating in Lagos, Nigeria, and is binding upon acceptance by the supplier.
- All items specified in this Purchase Order are intended for use by the Ophthalmologist and supporting clinical staff at our Victoria Island, Lagos facility. The Ophthalmologist team will verify calibration and functionality of all diagnostic and surgical equipment prior to acceptance.
- Delivery shall be made to the address stated above in Lagos, Nigeria, no later than 28 June 2025. Late delivery beyond five (5) business days shall attract a penalty of 1.5% of the total Purchase Order value per day of delay.
- Payment shall be made within thirty (30) calendar days of the date of invoice, provided that all goods have been inspected, accepted, and confirmed as conforming to the specifications outlined in this Purchase Order by the Lead Ophthalmologist.
- The supplier warrants that all ophthalmic instruments, lenses, and consumables are new, unused, and carry a minimum manufacturer's warranty of two (2) years. Warranty claims shall be serviced within Lagos, Nigeria, or at the nearest approved service centre.
- All imported ophthalmic equipment must be accompanied by valid NAFDAC registration certificates, CE marking documentation (where applicable), and a Certificate of Origin. Failure to provide these documents will result in rejection of the shipment at the Lagos port of entry.
- The Ophthalmologist and clinical team reserve the right to reject any item that does not meet the specified model, serial number, or performance criteria stated in this Purchase Order. Rejected items must be replaced within ten (10) business days at the supplier's cost.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- The supplier acknowledges that the equipment procured under this Purchase Order will be used in the practice of ophthalmology by a licensed Ophthalmologist in Lagos, Nigeria, and that all items must meet the clinical standards expected of a tertiary eye care facility.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid under this Purchase Order.
