2. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the Moscow Regional Ophthalmology Center (hereinafter referred to as the "Buyer") to OptiVision Medical Group LLC (hereinafter referred to as the "Supplier") for the procurement of specialized ophthalmological services, diagnostic equipment, and consumable medical supplies required for the practice of a certified Ophthalmologist at the Buyer's facility located in Russia Moscow. This Purchase Order governs the terms, conditions, pricing, delivery schedules, and quality standards applicable to all goods and services listed herein. The Ophthalmologist for whom these services and materials are procured holds a valid medical license issued by the Ministry of Health of the Russian Federation and is registered with the Moscow City Medical Chamber.

4. DELIVERY AND PERFORMANCE TERMS
  • Delivery Location: All physical goods shall be delivered to the Moscow Regional Ophthalmology Center, 12 Lesnaya Street, Building 4, Russia Moscow, 125167. The Supplier shall bear all transportation costs and risks until the goods are received and signed for by the Buyer's logistics department.
  • Service Performance Schedule: The Ophthalmologist's clinical services (Items 01–04) shall be rendered on a rolling monthly basis commencing 1 July 2025 and concluding 30 June 2026. The Ophthalmologist shall maintain a minimum of 20 patient consultations per week at the designated facility in Russia Moscow.
  • Equipment Calibration: The annual maintenance contract (Item 08) shall be fulfilled within 30 calendar days of the Purchase Order acceptance date. The Ophthalmologist shall be present during all calibration procedures to verify instrument accuracy.
  • Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice and confirmation of satisfactory delivery or service completion. Payment shall be processed via bank transfer to the Supplier's account in rubles (RUB) through a licensed financial institution operating in Russia Moscow.
  • Quality Assurance: All medical supplies must comply with the regulatory standards set forth by Roszdravnadzor (Federal Service for Surveillance in Healthcare) and must carry valid registration certificates for use within the Russian Federation. The Ophthalmologist reserves the right to reject any non-conforming materials.
5. APPLICABLE LAW AND DISPUTE RESOLUTION

This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and all applicable federal and municipal regulations pertaining to medical services procurement in Russia Moscow. Any disputes arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail to resolve the matter within 30 days, the dispute shall be referred to the Arbitration Court of the City of Moscow, Russia Moscow, for final and binding adjudication.

6. CONFIDENTIALITY AND DATA PROTECTION

Both parties acknowledge that the Ophthalmologist's patient records, clinical data, and proprietary medical protocols are subject to strict confidentiality under Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. The Supplier shall not access, disclose, or process any patient information in connection with the fulfillment of this Purchase Order without explicit written consent from the Buyer and the affected patient.

7. AUTHORIZED SIGNATURES

By signing below, the authorized representatives of both parties confirm their acceptance of all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement effective from the date of the last signature.
