Terms and Conditions – Purchase Order for Ophthalmologist Services in Seoul, South Korea
- This Purchase Order is issued in accordance with the Commercial Act of the Republic of Korea and all applicable regulations of the Ministry of Food and Drug Safety (MFDS), South Korea.
- The Ophthalmologist named herein shall maintain a valid medical license issued by the Korean Medical Association and shall comply with all clinical practice guidelines established by the Korean Ophthalmological Society (KOS) throughout the duration of this Purchase Order.
- All medical equipment listed in this Purchase Order shall be delivered, installed, and calibrated at the designated clinic facility in Gangnam-gu, Seoul, South Korea, no later than the Required Delivery Date stated above.
- The Ophthalmologist shall provide a minimum of 95% attendance for all scheduled patient sessions. Failure to meet this threshold shall result in a proportional credit against the total Purchase Order value.
- Payment shall be processed via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid tax invoice (세금계산서) issued in compliance with South Korean tax law.
- All patient data handled by the Ophthalmologist under this Purchase Order shall be protected in strict accordance with the Personal Information Protection Act (PIPA) of South Korea and the Medical Service Act.
- Warranty on all capital equipment (Items 4 and 5) shall be a minimum of twenty-four (24) months from the date of installation in Seoul, South Korea, with on-site service response within 48 hours.
- This Purchase Order may be amended only by mutual written agreement between the Issuing Entity and the Ophthalmologist / Supplier. Any amendment shall be executed as a formal addendum referencing Purchase Order No. PO-SEOUL-OPH-2025-0472.
- Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Korean Commercial Arbitration Board (KCAB) seated in Seoul, South Korea.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Ophthalmologist professional services and associated medical equipment in Seoul, South Korea, and supersedes all prior negotiations, representations, or agreements.
