The items and services listed below are required to support the expansion of the ophthalmology department at our facility located in Khalifa City, Abu Dhabi. All goods must comply with the regulatory standards set forth by the Department of Health – Abu Dhabi (DoH-AD) and the Ministry of Health and Prevention (MOHAP) of the United Arab Emirates.

1. This Purchase Order is governed by the laws of the United Arab Emirates and shall be interpreted in accordance with the UAE Civil Code and applicable commercial regulations in Abu Dhabi.
2. All ophthalmological equipment supplied under this Purchase Order must carry valid CE marking, FDA clearance, and approval from the Department of Health – Abu Dhabi (DoH-AD) prior to installation.
3. The Ophthalmologist, Dr. Khalid Al Mansoori, shall provide all professional services in strict compliance with the UAE Medical Practitioners and Specialists Council regulations and the ethical standards of the Abu Dhabi Health Services Company (SEHA).
4. Delivery of all physical goods shall be made to the Al Noor Medical Group facility in Khalifa City, Abu Dhabi, United Arab Emirates, no later than 15 July 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
5. Payment shall be processed via bank transfer to the supplier's designated account in the United Arab Emirates within thirty (30) calendar days of receipt of a valid tax invoice and proof of delivery.
6. All equipment is warranted for a minimum of twenty-four (24) months from the date of installation. The Ophthalmologist's professional services are covered under the standard professional liability insurance held by the supplier.
7. Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be binding.
8. The supplier shall maintain full confidentiality of all patient data and proprietary medical information in accordance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
9. Disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi, United Arab Emirates, in accordance with the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre.
10. This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations herein are fully discharged.
