1. Delivery Location: All goods under this Purchase Order shall be delivered to the optometrist practice premises located at Av. Vélez Sarsfield 1247, Piso 3, Ciudad de Córdoba, Provincia de Córdoba, Argentina. The supplier is responsible for all logistics within the Argentina Córdoba metropolitan area, including installation and calibration of diagnostic equipment.
2. Delivery Timeline: Diagnostic instruments (Items 01–04) must be delivered and installed within thirty (30) calendar days from the date of this Purchase Order. Consumable and retail items (Items 05–10) must be delivered within fifteen (15) calendar days. Late delivery beyond the stipulated period in Argentina Córdoba shall incur a penalty of 0.5% of the affected line-item value per day of delay.
3. Payment Terms: Payment shall be made via bank transfer (transferencia bancaria) to the supplier’s account in Argentine Pesos (ARS). A 40% advance payment is due upon signing of this Purchase Order. The remaining 60% is due within fifteen (15) business days following successful delivery, inspection, and written acceptance by the optometrist buyer. All payments are subject to the tax regulations of the Argentine Federal Administration of Public Revenue (AFIP).
4. Quality and Warranty: All optometrist-grade equipment must carry a minimum two-year manufacturer warranty. Lenses and frames must meet the quality standards established by the Argentine Association of Optometry (Asociación Argentina de Optometría). Any defective item discovered within the warranty period in the Argentina Córdoba region shall be replaced at no additional cost to the buyer.
5. Inspection and Acceptance: The optometrist buyer reserves the right to inspect all delivered goods within five (5) business days of arrival. Acceptance is contingent upon the equipment functioning correctly in the clinical setting of the practice in Córdoba. Rejection of non-conforming items must be communicated in writing within the inspection window.
6. Governing Law: This Purchase Order is governed by the commercial laws of the Province of Córdoba, Argentina, and the national Commercial Code of the Argentine Republic. Any disputes arising from this Purchase Order related to the optometrist supply chain in Argentina Córdoba shall be resolved in the competent courts of the Ciudad de Córdoba.
7. Cancellation: Either party may cancel this Purchase Order with thirty (30) days’ written notice. In the event of cancellation by the buyer after the advance payment has been made, the supplier shall retain 20% of the advance as a cancellation fee, provided the goods have not yet been shipped from the Argentina Córdoba warehouse.
8. Regulatory Compliance: The supplier warrants that all products comply with the regulations of the Ministry of Health of the Province of Córdoba and the national ANMAT (Administración Nacional de Medicamentos, Alimentos y Tecnología Médica) requirements for optometrist practice equipment in Argentina.
