- This Purchase Order is issued by ClearSight Optometry Clinic, a licensed Optometrist practice operating in Canada Vancouver, British Columbia, and is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
- All equipment listed in this Purchase Order must comply with the Canadian Medical Device Regulations (CMDR) administered by Health Canada. The vendor shall provide all necessary Medical Device Licenses (MDL) and conformity documentation prior to delivery.
- The Optometrist at this clinic, Dr. Sarah Nakamura, O.D., B.C.O.A., shall be the designated receiving authority. All equipment must be inspected and calibrated upon arrival at the Vancouver, Canada facility before acceptance is confirmed in writing.
- Payment shall be made within thirty (30) calendar days of the date of invoice, provided that all items have been received, inspected, and found to be in full compliance with the specifications outlined in this Purchase Order. Payment shall be made via electronic funds transfer (EFT) to the vendor's registered Canadian banking account.
- The vendor warrants that all equipment is new, unused, and free from defects in materials and workmanship. A minimum two-year manufacturer's warranty is required on all capital equipment items (Items 001 through 010). Warranty service must be available within the Canada Vancouver metropolitan area with a response time not exceeding forty-eight (48) hours.
- Delivery shall be made to the clinic address listed above in Vancouver, British Columbia, Canada. The vendor is responsible for all shipping, handling, and on-site installation costs as indicated in the freight line item. Delivery must be completed no later than July 15, 2025.
- Any late delivery beyond the required delivery date shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value. Delays exceeding fourteen (14) days shall entitle the Optometrist practice to cancel this Purchase Order in whole or in part without penalty.
- The vendor shall provide comprehensive operator training for the Optometrist and clinical support staff at the Vancouver, Canada location. Training sessions shall be conducted on-site and shall cover operation, maintenance, and basic troubleshooting of all capital equipment items.
- All pricing in this Purchase Order is denominated in Canadian Dollars (CAD) and is fixed for the duration of the order. No price adjustments shall be made after the date of issuance unless mutually agreed upon in writing by both parties.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendments must be made in writing and signed by authorized representatives of both parties.
- In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration in Vancouver, British Columbia, Canada, in accordance with the Arbitration Act of British Columbia.
- The vendor acknowledges that this Purchase Order is for the exclusive use of a regulated Optometrist practice in Canada Vancouver and that all equipment must meet the professional standards set forth by the College of Optometrists of British Columbia (COBC).
