- Delivery Location: Guangzhou Vision Care Optometrist Clinic, No. 88 Tianhe Road, Tianhe District, Guangzhou, Guangdong, China. All goods shall be delivered to the ground-floor receiving bay of the Optometrist practice facility.
- Delivery Window: The seller shall deliver all items specified in this Purchase Order no later than 15 July 2025. Partial deliveries are not permitted unless approved in writing by the Lead Optometrist.
- Installation: The seller is responsible for on-site installation, calibration, and commissioning of all capital equipment (Items 01–05) at the Optometrist clinic in China Guangzhou. Installation shall be completed within five (5) business days of delivery.
- Training: The seller shall provide a minimum of eight (8) hours of hands-on training for the Optometrist clinical staff on the operation, maintenance, and troubleshooting of all delivered equipment.
- Warranty: All equipment carries a minimum two-year manufacturer warranty from the date of installation. The Optometrist clinic in China Guangzhou shall have priority access to spare parts and technical support throughout the warranty period.
- Payment Schedule: 30% advance payment (CNY 460,380.00) due within ten (10) business days of Purchase Order acceptance. 60% (CNY 920,760.00) due upon delivery and acceptance at the Optometrist clinic. 10% (CNY 153,460.00) due upon successful completion of installation, calibration, and staff training.
- Payment Method: Bank transfer to the seller's designated corporate account in Guangzhou, Guangdong. All transactions shall be denominated in Chinese Yuan (CNY) and processed through a licensed Chinese commercial bank.
- Invoice Requirements: The seller shall issue a VAT (Value-Added Tax) invoice (fapiao) at the applicable rate of 13% for medical equipment. The invoice must reference this Purchase Order number PO-GZ-2025-00472.
- Late Payment Penalty: A penalty of 0.05% per calendar day shall apply to any overdue balance, in accordance with standard commercial practice in China Guangzhou.
- This Purchase Order constitutes a binding agreement between the Optometrist clinic (Buyer) and the supplier (Seller) upon written acceptance by both parties.
- All equipment must be new, unused, and in original factory packaging. Refurbished or second-hand items will be rejected at the point of delivery at the Optometrist facility in China Guangzhou.
- The seller warrants that all goods are free from defects in materials and workmanship and conform to the specifications stated in this Purchase Order.
- In the event of non-conforming goods, the seller shall replace the affected items within seven (7) business days at no additional cost to the Optometrist clinic.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission.
- Neither party may assign its obligations under this Purchase Order without the prior written consent of the other party.
- The Optometrist clinic reserves the right to inspect all goods upon arrival and to withhold final payment if any item fails to meet the agreed specifications.
- All intellectual property rights associated with the practice management software (Item 10) remain with the licensor. The Optometrist clinic in China Guangzhou is granted a non-exclusive, non-transferable license for internal clinical use only.
