All goods specified in this Purchase Order shall be delivered to the Optometrist practice premises located at Unter den Linden 42, 10117 Germany Berlin, no later than 28 June 2025. The supplier is responsible for the safe transport, proper packaging, and on-site installation of all diagnostic equipment. Installation of the Autorefractor, Phoropter, Fundus Camera, Slit Lamp, and Corneal Topographer must be completed and verified by a certified Optometrist equipment technician. The supplier shall provide a written installation report and a 24-month warranty certificate for all capital equipment. Delivery to our Optometrist facility in Germany Berlin must be scheduled between 08:00 and 16:00 CET on a weekday to minimize disruption to patient appointments.
- 4.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
- 4.2 Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice, provided all goods have been delivered and accepted by the Optometrist practice.
- 4.3 The supplier warrants that all goods supplied under this Purchase Order are new, unused, and free from defects in material and workmanship. Lenses and frames must meet the quality standards set forth by the Bundesverband der Optometristen (BdO) for Optometrist practices in Germany Berlin.
- 4.4 In the event of non-conforming goods, the Optometrist practice reserves the right to reject the delivery and demand replacement or a full refund within fourteen (14) days of notification.
- 4.5 The supplier shall comply with all applicable data protection regulations (GDPR / DSGVO) when handling any patient-related data associated with the Optometrist practice management software.
- 4.6 This Purchase Order may only be amended in writing, signed by authorized representatives of both parties. Verbal modifications are not binding.
- 4.7 The supplier acknowledges that the purchasing entity is a registered Optometrist practice in Germany Berlin and that all equipment must be CE-marked and compliant with EU medical device regulations where applicable.
NOTE: The Optometrist practice in Germany Berlin requires that all lens products (Items 04 and 05) be delivered with individual batch traceability codes for quality assurance. The supplier must confirm in writing that the progressive lenses are compatible with our existing lens edging machines. Additionally, the Optometrist practice management software (Item 10) must be pre-configured with the German Berlin tax and insurance billing modules before delivery.
