All goods listed in this Purchase Order shall be delivered to the receiving address of Sehzentrum München GmbH at Maximilianstraße 42, 80539 Munich, Germany. Delivery shall be completed no later than 05 July 2025. The supplier is responsible for all packaging, insurance, and freight costs up to the point of delivery (Incoterms 2020: DAP Munich). Fragile optical instruments, including the autorefraction unit, fundus camera, and slit lamp, must be shipped in manufacturer-approved protective crates. Upon arrival, the authorized optometrist or designated practice manager shall inspect all items within five (5) business days and report any discrepancies or damage in writing to the supplier.

5.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
5.2 Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date, provided all goods have been received and accepted in satisfactory condition by the optometrist practice.
5.3 The supplier warrants that all optical equipment, lenses, and consumables conform to the applicable European Union Medical Device Regulation (EU) 2017/745 and carry valid CE marking. The optometrist practice reserves the right to reject non-conforming items.
5.4 A warranty period of twenty-four (24) months applies to all capital equipment (items 01, 02, 03, 08, 10). Consumable items (items 04, 05, 06, 07, 09) carry a standard twelve (12) month defect warranty.
5.5 The supplier shall provide full installation, calibration, and operator training for all diagnostic equipment at the Munich practice location at no additional cost. Training sessions shall be conducted by certified technicians and documented for the optometrist's professional records.
5.6 Late delivery beyond the stated deadline shall incur a penalty of 0.5% of the total order value per calendar day, capped at 10% of the total order value.
5.7 This Purchase Order becomes binding upon written or electronic acceptance by both parties. Amendments must be made in writing and signed by both the authorized optometrist representative and the supplier's procurement officer.

The purchasing optometrist, Dr. med. Anna Berger, requires that all diagnostic equipment be calibrated to the specific parameters of the Sehzentrum München practice before delivery. The fundus camera must be pre-configured with the practice's PACS system (DICOM 3.0 compliant). Progressive lenses must be ground to the individual prescriptions provided in the attached Annex A (not included in this document). All designer frames must be in current 2025 collections. The supplier is reminded that this Purchase Order is issued by a licensed optometrist practice registered with the Bavarian Medical Association and is subject to professional regulatory oversight.
