PURCHASE ORDER DETAILS – OPTOMETRIST EQUIPMENT & CONSUMABLESThis Purchase Order is issued by ClearVision Optometrist & Eye Care Centre, a registered optometry practice located in India Mumbai, for the procurement of optical diagnostic instruments, prescription lenses, frames, and ancillary consumables required for the daily clinical operations of our Optometrist team. This document serves as a binding commercial agreement between the purchasing entity and the supplier for the goods and services enumerated below. All items are to be delivered to our India Mumbai clinic premises in Bandra West within the stipulated delivery window.

- Delivery: All items listed in this Purchase Order shall be delivered to the ClearVision Optometrist & Eye Care Centre premises at 42, Linking Road, Bandra West, India Mumbai – 400050 within 21 calendar days from the date of this order. Delivery shall be made between 09:00 AM and 05:00 PM, Monday to Saturday.
- Payment Terms: Payment shall be made via NEFT/RTGS to the supplier's designated bank account within 30 days of receipt of a valid GST tax invoice and successful inspection of goods. A 10% advance payment of INR 2,56,286.00 shall be transferred within 5 working days of order confirmation.
- Quality Assurance: All optical instruments and lenses must comply with the Bureau of Indian Standards (BIS) and the Central Drugs Standard Control Organisation (CDSCO) regulations applicable in India Mumbai and across India. The Optometrist in charge at our clinic shall conduct a functional verification of each piece of equipment upon delivery.
- Warranty: The supplier shall provide a minimum 2-year comprehensive warranty on all diagnostic instruments (Auto Refractometer, Slit Lamp, Phoropter, Fundus Camera) and a 1-year warranty on prescription lenses and frames. Warranty claims shall be honoured at the supplier's India Mumbai service centre or at our clinic premises at no additional cost.
- Installation & Training: The supplier shall arrange for on-site installation, calibration, and operator training for our Optometrist staff and optometric technicians at our India Mumbai clinic. Training sessions shall be conducted within 7 days of equipment delivery.
- Rejection & Returns: Any item found to be defective, damaged in transit, or not conforming to the specifications stated in this Purchase Order shall be rejected. The supplier shall replace rejected items within 10 working days at their own cost, including reverse logistics within India Mumbai.
- Regulatory Compliance: The supplier warrants that all medical and optical devices supplied are duly registered with the appropriate Indian regulatory authorities and carry valid import permits where applicable. The supplier shall provide all necessary documentation, including GST invoices, import declarations, and product registration certificates.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, pricing structures, and any patient-related data that may be incidentally shared during the course of business in India Mumbai.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed lockdowns, or other events beyond reasonable control, particularly those affecting supply chains in the India Mumbai metropolitan region.
