Terms and Conditions of this Purchase Order
- This Purchase Order is issued by ClearVision Optometry Centre, a registered Optometrist practice operating in India New Delhi, and is governed by the laws of the Republic of India, specifically the Indian Contract Act, 1872, and the Central Goods and Services Tax (CGST) Act, 2017.
- All items listed in this Purchase Order are intended for professional use by the Optometrist and associated clinical staff at the ClearVision Optometry Centre located in New Delhi, India. The supplier warrants that all diagnostic and optical equipment shall be new, unused, and in full working condition upon delivery.
- Delivery shall be made to the Optometrist's clinic premises at 14, Connaught Place, Block E, New Delhi, India – 110001. The supplier is responsible for all packaging, insurance, and freight charges within the India New Delhi metropolitan area. Any damage during transit shall be the sole responsibility of the supplier.
- Payment shall be made within thirty (30) days of the date of the tax invoice, via NEFT/RTGS to the supplier's designated bank account. Late payments shall attract interest at the rate of 1.5% per month as per the terms of this Purchase Order.
- The supplier shall provide a minimum warranty of two (2) years on all electronic diagnostic equipment (Auto Refractor, Phoropter, Slit Lamp, Fundus Camera) and one (1) year on all optical lenses, frames, and consumables. Warranty claims shall be serviced at the Optometrist's clinic in New Delhi, India, within forty-eight (48) hours of notification.
- All equipment must comply with the Bureau of Indian Standards (BIS) and the Drugs and Cosmetics Act, 1940, as applicable to medical and optical devices sold in India New Delhi. The supplier shall provide all necessary certificates, import permits (if applicable), and regulatory approvals along with the delivery.
- This Purchase Order is valid for acceptance until 30 June 2025. The supplier must confirm acceptance in writing (email or signed copy) within five (5) business days of the issue date. Failure to confirm within this period shall render this Purchase Order null and void.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by both the Optometrist (buyer) and the authorized representative of the supplier. Verbal agreements shall not be binding.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mutual negotiation. If unresolved, the matter shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
- The supplier acknowledges that the Optometrist practice in India New Delhi operates under the Medical Council of India (MCI) regulations and the Delhi Optometrists Association guidelines. All supplied products must meet the quality standards expected for professional optometric care in the region.
