Terms and Conditions

This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
All goods must be delivered to the ClearVision Optometry Center premises at 42 Dizengoff Street, Tel Aviv-Yafo, Israel, no later than 28 June 2025. Late delivery beyond five (5) business days entitles the Optometrist practice to a penalty of 1.5% of the total Purchase Order value per day of delay.
Payment terms: Net 30 days from the date of confirmed receipt and satisfactory inspection of all items. Payment shall be made via bank transfer to the vendor's designated account in New Israeli Shekels (ILS).
All diagnostic and optical equipment listed in this Purchase Order must carry a minimum two-year manufacturer's warranty and must be CE-marked or equivalent-certified for use in the Israeli healthcare sector.
The vendor shall provide full installation, calibration, and operator training for all major equipment (Items 001, 002, 003, 007, and 012) at the Optometrist clinic in Tel Aviv. Training sessions shall be conducted in Hebrew and/or English.
The vendor warrants that all goods are new, unused, and free from defects. Any item found to be defective within the warranty period shall be replaced at no additional cost to the Optometrist practice.
This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. The vendor's written acceptance constitutes a binding contract between the parties.
All pricing is inclusive of applicable Israeli Value Added Tax (VAT) at the current rate of 18%. No additional charges shall be applied beyond those specified in this document.
The vendor acknowledges that the goods are procured for a licensed Optometrist practice registered with the Israel Optometric Association and the Ministry of Health, and all items must meet the professional standards required for clinical optometric practice in Israel Tel Aviv.
Confidentiality: Both parties agree to maintain the confidentiality of all business information exchanged in connection with this Purchase Order.

Delivery and Acceptance

Delivery shall be made to the receiving dock at the ClearVision Optometry Center, Tel Aviv-Yafo. The designated receiving officer is Ms. Rachel Ben-Ami, Practice Manager. Upon delivery, all items shall be inspected within three (3) business days. Any discrepancies, damage, or missing items must be reported in writing to the vendor within the same period. Failure to report within this window shall constitute acceptance of the goods as delivered.
