- This Purchase Order is issued by Osaka Vision Care Optometry Center, a licensed Optometrist practice registered in Japan Osaka, for the procurement of diagnostic equipment, optical supplies, and patient care materials necessary for the continued operation of our optometry services.
- All items listed in this Purchase Order must conform to the Japanese Medical Device Act (Medical Machine Act) and applicable regulations set forth by the Ministry of Health, Labour and Welfare of Japan. The supplier shall provide all necessary certification documents upon delivery to our Japan Osaka facility.
- Delivery shall be made to the Optometrist practice location at 2-14-8 Dotonbori, Chuo-ku, Osaka 542-0071, Japan Osaka. The supplier is responsible for all transportation, insurance, and risk of loss until the goods are received and inspected at our Japan Osaka premises.
- Payment shall be made within forty-five (45) calendar days from the date of invoice receipt, provided that all goods have been inspected and found to be in conformity with the specifications stated in this Purchase Order. Payment shall be made via bank transfer to the supplier's designated account in Japan Osaka.
- The supplier warrants that all Optometrist-grade diagnostic instruments shall be new, unused, and free from defects in materials and workmanship. A minimum two-year warranty is required on all electronic and optical equipment. Contact lens materials and lens blanks must carry a minimum shelf life of eighteen (18) months from the date of delivery.
- In the event of non-conforming goods, the Optometrist practice management reserves the right to reject any or all items. The supplier shall, at their own expense, replace rejected items within ten (10) business days or issue a full credit note against this Purchase Order.
- All intellectual property, trademarks, and proprietary technology associated with the supplied equipment remain the property of Nippon Optical Instruments Co., Ltd. This Purchase Order grants the Optometrist practice a non-transferable license to use the equipment solely for patient care purposes within the Japan Osaka facility.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan Osaka, in accordance with the rules of the Japan Commercial Arbitration Association.
- The supplier acknowledges that the goods procured under this Purchase Order are intended for use by a licensed Optometrist and supporting staff in the provision of vision care services to the public in Japan Osaka. The supplier shall not be held liable for clinical outcomes resulting from the use of the supplied equipment.
- Any amendments, modifications, or cancellations to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be binding.
