Amount in words: Two Million Eight Hundred Twenty-Nine Thousand Eight Hundred Thirty Pakistani Rupees only. All prices are inclusive of manufacturer's warranty but exclusive of any future maintenance contracts. This Purchase Order is governed by the laws of the Islamic Republic of Pakistan, and any disputes shall be resolved under the jurisdiction of the courts in Pakistan Karachi, Sindh.
Terms and Conditions of This Purchase Order
- Delivery: The supplier shall deliver all items listed in this Purchase Order to the Optometrist practice premises at Clifton Block 5, Pakistan Karachi, no later than 30 June 2025. Delivery shall be made between 09:00 AM and 04:00 PM on business days. The supplier is responsible for all transportation, insurance, and handling costs within Pakistan Karachi.
- Payment Terms: A 40% advance payment (PKR 1,131,932) shall be made via bank transfer to the supplier's account upon acceptance of this Purchase Order. The remaining 60% (PKR 1,697,898) shall be paid within 15 days of successful delivery, installation, and inspection of all equipment by the Optometrist and a designated technical representative.
- Quality Assurance: All optical instruments and diagnostic equipment must be new, unused, and carry a minimum of 24-month manufacturer's warranty. The supplier must provide PMDC compliance certificates and DRAP (Drug Regulatory Authority of Pakistan) registration numbers for all consumable items. The Optometrist reserves the right to reject any item that does not meet the specified standards.
- Installation & Training: The supplier shall provide on-site installation of the Phoropter, Slit Lamp, Fundus Camera, Penetrometer, and Digital Eye Chart Projector at the practice in Pakistan Karachi. A minimum of 4-hour training session for the Optometrist and two (2) assistant staff members shall be conducted by the supplier's certified technician at no additional cost.
- Warranty & After-Sales Support: The supplier guarantees a 24-month comprehensive warranty on all electronic and optical equipment. Any defects discovered within the warranty period shall be repaired or replaced within 7 working days. The supplier shall maintain a dedicated service representative in Pakistan Karachi for prompt after-sales support.
- Penalty for Delay: In the event of delayed delivery beyond the stipulated deadline, the supplier shall be liable to pay a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%. Delays exceeding 15 days shall entitle the Optometrist to cancel this Purchase Order without penalty and seek a full refund of any advance payment made.
- Regulatory Compliance: The supplier warrants that all items comply with the regulations set forth by the Sindh Health Department, the Pakistan Medical & Dental Council, and the Federal Board of Revenue (FBR) for the import and sale of medical and optical equipment in Pakistan Karachi. The supplier shall provide all necessary import permits, customs clearance documents, and tax invoices.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any patient-related data that may be handled during the installation and training process at the Optometrist practice in Pakistan Karachi.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or civil unrest affecting Pakistan Karachi.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any arbitration or legal proceedings shall take place in the courts of competent jurisdiction in Pakistan Karachi, Sindh.
