- Delivery Location: All goods shall be delivered to the Moscow Vision Care Center LLC premises at 42 Tverskaya Street, Moscow, 125009, Russia. The Supplier is responsible for all logistics, customs clearance (if applicable for imported components), and installation within the city of Moscow, Russia.
- Payment Terms: Payment shall be made within 30 days of the date of invoice issuance. A 50% advance payment is due upon acceptance of this Purchase Order. The remaining 50% balance is due upon successful delivery, installation, and commissioning of all equipment at the optometrist practice facility in Moscow.
- Warranty: All diagnostic equipment and instruments supplied under this Purchase Order carry a minimum 24-month manufacturer warranty from the date of installation. The optometrist practice in Russia Moscow shall be entitled to free repair or replacement of any defective components during the warranty period.
- Quality Standards: All optometry equipment must comply with the regulatory standards set forth by the Ministry of Health of the Russian Federation and must be certified for use in clinical optometrist practices operating within Russia Moscow. CE and EAC certification marks are mandatory.
- Training: The Supplier shall provide on-site training for our optometrist staff (up to 5 personnel) on the operation, maintenance, and troubleshooting of all delivered equipment. Training sessions shall be conducted at our Moscow facility within 7 business days of installation.
- Professional Services: The optometrist continuing education workshop and annual calibration contract shall be fulfilled by certified professionals registered in Russia Moscow. All service deliverables must be completed by the specified delivery dates.
- Penalties for Late Delivery: In the event of delayed delivery beyond the dates specified in this Purchase Order, the Supplier shall pay a penalty of 0.5% of the total order value per calendar day of delay, up to a maximum of 10% of the total Purchase Order value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of Moscow, Russia.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information exchanged in connection with this Purchase Order, including patient data handled by the optometrist practice in Russia Moscow.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Moscow.
This Purchase Order is valid for acceptance within 10 business days from the date of issue. The Supplier's written confirmation of acceptance shall constitute a binding contract between both parties. Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
