4. Terms and Conditions

4.1 Scope of Purchase Order: This Purchase Order is issued by Seoul Vision Care Center Co., Ltd. for the procurement of optometric diagnostic equipment, professional supplies, and associated services required for the operation of a fully equipped Optometrist practice in Seoul, South Korea. All items listed herein are intended for use by licensed Optometrist professionals in the delivery of comprehensive eye care services to patients in the Seoul metropolitan area.

4.2 Delivery: The Supplier shall deliver all items listed in this Purchase Order to the Buyer's facility located in Gangnam-gu, Seoul, South Korea, no later than July 15, 2025. Delivery shall be made in accordance with DDP (Delivered Duty Paid) terms as specified in Incoterms 2020. The Supplier is responsible for all transportation, insurance, customs clearance, and local delivery logistics within South Korea Seoul.

4.3 Quality and Compliance: All equipment and supplies must comply with the Medical Device Act of the Republic of Korea (South Korea) and must bear the appropriate MFDS (Ministry of Food and Drug Safety) certification. The Supplier warrants that all Optometrist-grade diagnostic instruments meet or exceed the specifications outlined in the attached technical annex. Equipment must be new, unused, and in original manufacturer packaging.

4.4 Payment Terms: Payment shall be made within forty-five (45) calendar days from the date of receipt of a valid tax invoice from the Supplier. Payment shall be processed via bank transfer to the Supplier's designated account in Korean Won (KRW). The Buyer reserves the right to withhold payment for any items that fail to meet the quality standards specified in this Purchase Order.

4.5 Warranty: The Supplier shall provide a minimum two-year comprehensive warranty on all capital equipment (Items 001 through 007). The warranty shall cover parts, labor, and on-site service at the Buyer's facility in Seoul, South Korea. The annual maintenance contract (Item 008) shall commence upon successful installation and acceptance of all equipment by the Buyer's Optometrist team.

4.6 Training: The Supplier shall provide the training program described in Item 009 at the Buyer's Seoul facility. Training shall be conducted by certified Optometrist equipment specialists and shall cover proper operation, maintenance, and troubleshooting of all purchased diagnostic instruments. Training materials shall be provided in both Korean and English.

4.7 Acceptance and Inspection: Upon delivery, the Buyer's designated Optometrist representative shall inspect all items within five (5) business days. Any discrepancies, damage, or non-conformities must be reported in writing to the Supplier within the inspection period. The Supplier shall rectify or replace non-conforming items within ten (10) business days at no additional cost to the Buyer.

4.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea (South Korea). Any disputes arising from this Purchase Order shall be resolved through the Seoul District Court, South Korea Seoul, or through arbitration at the Korean Commercial Arbitration Board (KCAB) as mutually agreed upon by both parties.

4.9 Confidentiality: Both parties agree to maintain the confidentiality of all business information, pricing, and patient-related data exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

4.10 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in South Korea Seoul.

This Purchase Order document (PO-SEOUL-2025-04782) is issued for the procurement of Optometrist professional equipment and services in Seoul, South Korea. This document is valid for a period of ninety (90) days from the date of issue. Any modifications to this Purchase Order must be made in writing and signed by both parties.
