Terms and Conditions

1. This Purchase Order is issued by Clínica de Optometría Barcelona S.L. for the procurement of professional optometry equipment and supplies to be installed in the Optometrist examination suite located in Spain Barcelona. All items must comply with the European Union Medical Devices Regulation (EU) 2017/745 and carry valid CE marking.
2. The supplier, MediOptik Ibérica, S.A., confirms that all equipment listed in this Purchase Order is new, unused, and in original factory packaging. The Optometrist practice requires full manufacturer documentation, user manuals in Spanish and English, and CE conformity certificates for each device.
3. Delivery shall be made to the specified address in Spain Barcelona no later than 05 July 2025. The supplier is responsible for all transportation, insurance, and installation costs within the city of Barcelona. Any delay beyond the agreed delivery date will incur a penalty of 0.5% of the total Purchase Order value per calendar day, up to a maximum of 5%.
4. Payment shall be made via bank transfer (SEPA) to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. The invoice must reference this Purchase Order number (PO-2025-BCN-04782) and include the supplier's CIF number for tax compliance in Spain.
5. All equipment is subject to a minimum warranty period as indicated in the line items table. Warranty service must be available within the Barcelona metropolitan area, with a maximum response time of 48 hours for the Optometrist practice to resume full clinical operations.
6. The supplier shall provide on-site training for the Optometrist and clinical staff on the operation, maintenance, and basic troubleshooting of all delivered equipment. Training sessions shall be conducted in Spanish and/or English at the buyer's premises in Spain Barcelona.
7. This Purchase Order is governed by the laws of Spain. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Barcelona, Spain. The parties agree to attempt mediation before initiating any legal proceedings.
8. The buyer reserves the right to inspect all goods upon delivery. Any items found to be damaged, defective, or not conforming to the specifications in this Purchase Order must be replaced or repaired at the supplier's sole expense within ten (10) business days.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged during the procurement process for the Optometrist practice expansion in Spain Barcelona.
10. This Purchase Order becomes effective upon signature by both parties and remains valid until the expiration date stated above. No modifications to this Purchase Order shall be valid unless made in writing and signed by both parties.
