- This Purchase Order is issued by Al Noor Vision Care Centre, a licensed Optometrist practice operating in Abu Dhabi, United Arab Emirates, and is governed by the laws of the United Arab Emirates and the regulations of the Abu Dhabi Department of Health (DoH).
- All items listed in this Purchase Order are intended for use by the Optometrist and supporting clinical staff at the buyer's facility in Abu Dhabi, United Arab Emirates. The supplier warrants that all medical and optical equipment complies with the standards set by the Abu Dhabi DoH and the UAE Ministry of Health and Prevention (MOHAP).
- Delivery shall be made to the buyer's premises in Abu Dhabi, United Arab Emirates, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the buyer to cancel this Purchase Order without penalty.
- Payment shall be made via bank transfer in United Arab Emirates Dirhams (AED) within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. The invoice must include the supplier's VAT registration number as registered with the Federal Tax Authority of the United Arab Emirates.
- All equipment must be accompanied by valid certificates of conformity, import permits (where applicable under UAE customs regulations), and manufacturer warranties. The Optometrist practice requires that all diagnostic instruments carry a minimum two-year warranty from the date of installation in Abu Dhabi.
- The supplier is responsible for all customs clearance, import duties, and logistics within the United Arab Emirates. The terms of this Purchase Order are DDP Abu Dhabi, meaning the supplier bears all risk and cost until the goods are delivered to the buyer's designated location in Abu Dhabi.
- Any modifications, substitutions, or changes to the items specified in this Purchase Order must be approved in writing by the buyer's procurement officer. Verbal agreements do not constitute amendments to this Purchase Order.
- The supplier shall provide on-site installation, calibration, and staff training for all major Optometrist diagnostic equipment (items 1–4 and 10) at the buyer's facility in Abu Dhabi, United Arab Emirates, at no additional cost.
- This Purchase Order does not constitute a long-term supply agreement. Each subsequent order shall be issued as a separate Purchase Order document.
- Disputes arising from this Purchase Order shall be resolved in accordance with the dispute resolution mechanisms of the Abu Dhabi Courts, United Arab Emirates.
