Terms & Conditions- This Purchase Order is issued by ClearVision Optometry Centre LLC, a licensed Optometrist practice registered with the Dubai Health Authority (DHA) and operating in the United Arab Emirates Dubai. All goods and services referenced herein are intended for use in the provision of professional optometric care to patients in the Dubai metropolitan area.
- The supplier shall deliver all items listed in this Purchase Order to the designated address in Dubai Internet City, United Arab Emirates Dubai, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days shall entitle the buyer to a penalty of 1% of the total Purchase Order value per day of delay, capped at 10%.
- All diagnostic and therapeutic equipment supplied under this Purchase Order must comply with the regulatory standards set forth by the Dubai Health Authority (DHA) and the Emirates Authority for Standardization and Metrology (ESMA). The Optometrist team at ClearVision will conduct a full acceptance inspection upon delivery. Any non-conforming items must be replaced within seven (7) calendar days at the supplier's sole cost.
- Payment shall be made via bank transfer to the supplier's designated account in AED within thirty (30) calendar days from the date of successful delivery and acceptance of all goods. The invoice must include the supplier's Tax Registration Number (TRN) as per the Federal Tax Authority (FTA) requirements of the United Arab Emirates.
- The supplier warrants that all equipment is new, unused, and free from defects for a minimum period of twelve (12) months from the date of installation. The Optometrist practice reserves the right to request on-site technical support during the warranty period at no additional charge.
- This Purchase Order is governed by the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts, United Arab Emirates Dubai.
- All intellectual property, patient data, and operational information shared in connection with this Purchase Order shall remain the confidential property of the Optometrist practice. The supplier agrees to maintain strict confidentiality in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the United Arab Emirates Dubai region, shall excuse timely performance for the duration of such event, provided written notice is given within 48 hours.
- This Purchase Order becomes effective upon written acceptance by both parties. No modification or amendment to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both the Optometrist practice and the supplier.
