- This Purchase Order is issued by Bright Vision Optometry Group, LLC, a licensed Optometrist practice operating in United States Miami, Florida, and is governed by the commercial laws of the State of Florida and applicable federal regulations of the United States.
- All equipment and supplies listed herein are intended for use by a licensed Optometrist or under the direct supervision of a licensed Optometrist in accordance with Florida Statutes Chapter 459 and the rules of the Florida Board of Optometry.
- The vendor shall deliver all items to the designated address in United States Miami, FL 33137, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days shall entitle the buyer to a 2% per diem penalty on the total Purchase Order value.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery of all line items. Payment shall be processed via ACH transfer to the vendor's designated bank account in the United States.
- All medical and diagnostic equipment must carry a minimum of a two (2) year manufacturer's warranty. The vendor shall provide full installation, calibration, and operator training for the Optometrist clinical staff at the United States Miami facility at no additional charge.
- The vendor warrants that all products comply with FDA regulations, ANSI Z80.1 standards for ophthalmic instruments, and all applicable United States federal and Florida state safety and quality requirements for Optometrist practice equipment.
- Any substitutions or deviations from the specifications listed in this Purchase Order must be approved in writing by the purchasing agent of Bright Vision Optometry Group prior to shipment. Unauthorized substitutions will result in rejection of the affected items at the vendor's expense.
- This Purchase Order does not constitute a binding contract until countersigned by an authorized representative of the vendor. The vendor's acceptance of this Purchase Order shall be evidenced by a signed copy returned to the buyer within five (5) business days of issuance.
- All disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Miami, Dade County, Florida, in accordance with the rules of the American Arbitration Association.
- The vendor shall maintain adequate product liability insurance with a minimum coverage of $2,000,000 per occurrence for all equipment supplied under this Purchase Order for use in an Optometrist clinical setting.
