Terms and Conditions

Payment Terms: 40% advance payment within 7 business days of Purchase Order acceptance; 60% balance payment within 15 business days of confirmed delivery and inspection at the China Beijing delivery site. All payments shall be made via bank transfer to the supplier's designated account in RMB (CNY).
Delivery: The supplier shall deliver all items listed in this Purchase Order to the Beijing Capital Orthodontic Clinic premises in Chaoyang District, China Beijing, no later than July 5, 2025. Delivery shall be DDP (Delivered Duty Paid) per Incoterms 2020. All customs clearance, import duties, and local transportation within China Beijing shall be the responsibility of the supplier.
Quality Assurance: All orthodontic instruments and materials must comply with the National Medical Products Administration (NMPA) of the People's Republic of China. The supplier shall provide valid NMPA registration certificates, CE markings where applicable, and material safety data sheets (MSDS) for every item. The Orthodontist and clinical staff at the clinic reserve the right to reject any item that does not meet the specified standards or appears damaged upon arrival.
Warranty: The supplier guarantees a minimum 24-month warranty on all electronic and mechanical equipment (including the intraoral scanners and light-curing units). Consumable orthodontic materials carry a 12-month shelf-life guarantee from the date of manufacture. Any defective items discovered within the warranty period shall be replaced at no additional cost to the buyer.
Intellectual Property: The supplier warrants that all products supplied under this Purchase Order do not infringe upon any third-party intellectual property rights within the jurisdiction of China Beijing or the broader People's Republic of China.
Regulatory Compliance: This Purchase Order is subject to all applicable regulations of the National Health Commission of the PRC and the Beijing Municipal Medical Administration. The Orthodontist operating the clinic in China Beijing shall ensure that all procured equipment is registered and approved for clinical use in the municipality of Beijing before installation and patient treatment.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be submitted to the Beijing Arbitration Commission for arbitration in accordance with its rules. The governing law shall be the Civil Code of the People's Republic of China.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the pricing, quantities, and clinical protocols associated with this Purchase Order. No information shall be disclosed to third parties without written consent, in compliance with the Personal Information Protection Law (PIPL) of the PRC.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in China Beijing, or supply chain disruptions. Affected parties must notify the other within 48 hours of the occurrence.
