All prices are quoted in Chinese Yuan (CNY). Payment shall be made via bank transfer to the supplier's registered account in Shenzhen. A valid VAT invoice (fapiao) must accompany each delivery.

Delivery Location: Shanghai Jing'an Orthodontic Center, 1288 Nanjing West Road, Jing'an District, Shanghai, China 200040. All orthodontic equipment and consumables listed in this Purchase Order shall be delivered to the above address within the People's Republic of China.

Delivery Schedule: Items 01 through 05 and 07 shall be delivered within 15 business days from the date of this Purchase Order. Item 04 (Intraoral Digital Scanners) shall be delivered within 30 business days. Item 06 (CBCT Module) shall be delivered and installed within 60 business days. Item 08 (Software License) shall be activated within 5 business days.

Compliance: All orthodontic devices and imaging equipment must comply with the National Medical Products Administration (NMPA) regulations of China. The supplier warrants that all items carry valid NMPA registration certificates. The Orthodontist practice in Shanghai shall not be held liable for any regulatory non-compliance arising from the supplier's products.

Payment Terms: 30% advance payment upon confirmation of this Purchase Order. 60% upon delivery and inspection at the Shanghai facility. 10% upon successful installation, calibration, and 30-day operational warranty period for the CBCT unit and digital scanners.

Warranty: All orthodontic hardware carries a minimum 24-month warranty. The CBCT imaging module carries a 36-month comprehensive warranty including parts and labor. The intraoral scanners carry a 60-month warranty. Consumable items (brackets, wires, elastics, bonding kits) are non-returnable once opened.

This Purchase Order is issued by the Shanghai Jing'an Orthodontic Center for the procurement of orthodontic equipment, imaging technology, and clinical consumables required to maintain and expand the orthodontic services provided to patients in the Shanghai metropolitan area. The Orthodontist team, led by Dr. Wei Lian Chen, requires all items to meet the highest standards of clinical quality and regulatory compliance as mandated by the Shanghai Municipal Health Commission and the National Health Commission of the People's Republic of China.

The supplier is required to provide a detailed packing list, NMPA registration certificates, material safety data sheets (MSDS), and calibration certificates for all imaging equipment. A dedicated technical representative from the supplier must be present at the Shanghai facility during the installation of the CBCT module and intraoral scanners to ensure proper integration with the existing orthodontic practice management system.

All documentation accompanying this Purchase Order, including the fapiao, delivery notes, and warranty cards, must be submitted in both Chinese and English to facilitate the Orthodontist practice's bilingual patient records and international accreditation requirements.

This Purchase Order becomes effective upon signature by both parties. The supplier acknowledges receipt of this Purchase Order and agrees to fulfill all line items, delivery schedules, and compliance requirements as stated herein. Any modifications to this Purchase Order must be made in writing and signed by both the Orthodontist practice representative in Shanghai and the authorized supplier representative.
