PURCHASE ORDER DETAILS – ORTHODONTIST PRACTICE EQUIPMENT & MATERIALSThis Purchase Order is issued by Cairo Dental & Orthodontic Supply Co. for the procurement of specialized orthodontic equipment, clinical materials, and consumables required for the operation of a fully equipped Orthodontist practice located in the Nasr City medical district of Egypt Cairo. All items listed below must comply with the Egyptian Ministry of Health regulatory standards and the European CE marking requirements for medical devices. The Orthodontist clinic will serve patients across Greater Cairo and surrounding governorates, and therefore all equipment must meet the highest clinical and safety standards.

1. Scope of Supply: This Purchase Order covers the complete furnishing of a new Orthodontist practice in Egypt Cairo. All items are to be delivered in their original factory packaging, fully sealed, with valid certificates of origin, CE conformity documentation, and Egyptian Ministry of Health import permits where applicable.
2. Delivery Terms: Delivery shall be made DDP (Delivered Duty Paid) to the receiving facility at 45 El Rehab Street, Nasr City, Egypt Cairo, 11341. The supplier is responsible for all customs clearance, import duties, and last-mile delivery within Egypt Cairo. The required delivery date for this Purchase Order is 05 July 2025. Late delivery beyond 10 business days entitles the buyer to a penalty of 1.5% of the total Purchase Order value per week of delay.
3. Payment Terms: Payment shall be made in three installments: 40% upon confirmation of this Purchase Order, 40% upon shipment and presentation of the Bill of Lading, and 20% upon successful installation, calibration, and acceptance of all equipment at the Orthodontist clinic in Egypt Cairo. All payments shall be made via irrevocable Letter of Credit issued by Banque Misr, Cairo branch, in Euros.
4. Quality & Compliance: All orthodontic materials and equipment must carry valid CE marking and comply with ISO 13485 medical device quality standards. The Orthodontist receiving these items will conduct a full inspection upon arrival. Any item found defective, damaged, or non-conforming to the specifications stated in this Purchase Order shall be replaced at the supplier's sole expense within 15 business days.
5. Installation & Training: The supplier shall provide on-site installation of all capital equipment (items 01, 02, 10, and 12) at the Orthodontist clinic in Egypt Cairo. A minimum of two (2) full days of hands-on training for the Orthodontist and two (2) clinical assistants shall be included at no additional cost.
6. Warranty: All capital equipment carries a minimum 24-month manufacturer's warranty from the date of acceptance. Consumable items (items 03 through 08, 11) carry a 12-month shelf-life guarantee from the date of manufacture. Warranty claims shall be processed through the supplier's designated service agent in Egypt Cairo.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Cairo under the rules of the Egyptian Arbitration Centre.
8. Validity: This Purchase Order is valid for acceptance within 14 calendar days from the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
