- Scope of Purchase Order: This Purchase Order is issued by Cabinet d'Orthodontie Dr. Laurent Moreau, a registered orthodontist practice located in France Marseille, for the procurement of orthodontic equipment, consumables, and professional services as itemized above. All products must comply with European Union medical device regulations (MDR 2017/745) and French national health authority (ANSM) requirements.
- Delivery: The supplier shall deliver all goods to the orthodontist practice premises at 142 Boulevard Longchamp, 13001 Marseille, France, no later than 28 June 2025. Delivery shall be made during standard business hours (08:00–18:00 CET). The supplier is responsible for all transportation, insurance, and risk of loss until goods are received and signed for by the orthodontist or an authorized representative at the Marseille location.
- Quality & Compliance: All orthodontic products supplied under this Purchase Order must bear valid CE marking, carry appropriate ISO 13485 certification, and be accompanied by French-language patient information leaflets where applicable. The intraoral scanner and X-ray equipment must be registered with the French Autorité de Sûreté Nucléaire et Radiologique (ASN) prior to installation.
- Payment: Payment shall be made via bank transfer (virement bancaire) within thirty (30) calendar days of the date of the supplier's invoice. The supplier shall include the Purchase Order number FR-MRS-2025-04871 on all invoices. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
- Warranty: All equipment items carry a minimum manufacturer warranty of two (2) years from the date of installation at the Marseille practice. Consumable items are covered by a 30-day replacement guarantee against manufacturing defects. The annual maintenance service (Line Item 8) includes two on-site calibration visits per year at no additional cost.
- Installation & Training: The supplier shall provide on-site installation of the orthodontic chair and intraoral scanner at the France Marseille practice. A minimum of four (4) hours of hands-on training for the orthodontist and two (2) dental assistants shall be included, conducted in French or English at the practice location.
- Acceptance & Inspection: Upon delivery, the orthodontist practice shall inspect all items within five (5) business days. Any discrepancies, damages, or non-conformities must be reported in writing to the supplier within this period. Undelivered or defective items shall be replaced or credited at the supplier's expense within ten (10) business days.
- Confidentiality & Data Protection: Both parties agree to comply with the General Data Protection Regulation (GDPR) and French data protection law (Loi Informatique et Libertés). No patient data shall be transmitted in connection with this Purchase Order. All business correspondence shall be treated as confidential.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both the orthodontist practice representative and the authorized signatory of the supplier. Verbal agreements are expressly excluded.
