4.1 This Purchase Order is issued by the undersigned Orthodontist, Dr. Claire Fontaine, operating the Cabinet d'Orthodontie du Quartier Latin located in France Paris (7th arrondissement). All goods listed herein are intended for clinical orthodontic use within this practice and must comply with the European Medical Devices Regulation (EU) 2017/745 and applicable French health authority (ANSM) standards.
4.2 The supplier, MediDent Europe S.A.S., acknowledges receipt of this Purchase Order and confirms that all items will be delivered to the specified France Paris address within the stated delivery window. Late delivery beyond 27 June 2025 will incur a penalty of 1.5% of the line-item value per calendar day of delay.
4.3 Payment terms: Net 30 days from the date of invoice, payable by SEPA bank transfer to the supplier's designated account. The Orthodontist's practice will process payment through the accounting department of the Cabinet d'Orthodontie du Quartier Latin, France Paris. No payment shall be due until all goods have been inspected and accepted.
4.4 All orthodontic products must be new, unopened, and within their manufacturer's stated shelf life (minimum 18 months remaining at the time of delivery). The Orthodontist reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to meet the quality standards expected in a France Paris clinical setting.
4.5 Warranty: The digital intraoral scanner (Item #4) carries a 36-month manufacturer's warranty. All other items carry a minimum 12-month warranty against manufacturing defects. The supplier shall replace or refund any defective product within 14 business days of written notice from the Orthodontist.
4.6 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the execution of this document shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
4.7 The supplier must provide a Certificate of Conformity and, where applicable, a CE marking declaration for each medical device included in this order, in accordance with French and European regulatory requirements for orthodontic practice in France Paris.
4.8 This Purchase Order may not be transferred or assigned to a third party without the prior written consent of the Orthodontist and the practice management of the Cabinet d'Orthodontie du Quartier Latin.
