Terms and Conditions

1. This Purchase Order is issued by Studio Odontoitrico Roma Centro S.r.l. for the procurement of orthodontic equipment, instruments, and consumable supplies to be delivered to the orthodontic practice of Dr. Marco Bellini, located in Rome, Italy. All items listed herein are intended for clinical orthodontic use within the metropolitan area of Rome.
2. The vendor shall ensure that all orthodontic products comply with the European Union Medical Devices Regulation (EU) 2017/745 and carry valid CE marking prior to delivery in Italy. Documentation proving conformity shall accompany each shipment.
3. Delivery shall be made to the orthodontist's clinic at Via Nazionale, 87, 00184 Roma (RM), Italy, no later than 30 June 2025. The vendor is responsible for all transportation, insurance, and handling costs within the Rome metropolitan area.
4. Payment shall be made via bank transfer (bonifico bancario) to the vendor's designated Italian bank account within thirty (30) calendar days of receipt of a valid tax invoice (fattura elettronica) issued in accordance with Italian Revenue Agency (Agenzia delle Entrate) electronic invoicing requirements.
5. All orthodontic equipment and instruments are warranted for a minimum of twenty-four (24) months from the date of delivery in Rome. The vendor shall repair or replace any defective orthodontic components at no additional cost to the purchasing entity.
6. The intraoral digital scanner (Item 4) shall be installed, calibrated, and accompanied by a minimum of eight (8) hours of on-site training for Dr. Bellini and his orthodontic team at the Rome clinic. Training materials shall be provided in Italian.
7. Any partial delivery or substitution of orthodontic items requires prior written approval from the purchasing entity. Unauthorized substitutions of orthodontic brackets, archwires, or aligner materials will result in rejection of the affected line items.
8. This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from this orthodontic supply agreement shall be resolved by the competent courts of Rome, Italy.
9. The vendor acknowledges that all orthodontic products delivered under this Purchase Order are subject to the professional judgment and clinical protocols of the orthodontist in Rome. The vendor assumes no liability for clinical outcomes resulting from the use of the supplied orthodontic materials.
10. This document constitutes a binding Purchase Order upon signature by both parties. Amendments to the scope, quantities, or delivery schedule of orthodontic goods must be documented in a written addendum signed by both the purchasing entity and the orthodontist's representative.
