Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Golden Gate Orthodontic Centre (Pty) Ltd, a registered Orthodontist practice operating in South Africa Johannesburg, and constitutes a binding offer to purchase the goods listed herein from MedDent Solutions (Pty) Ltd.
- All orthodontic products and equipment specified in this Purchase Order must comply with the South African Health Products Regulatory Authority (SAHPRA) standards and the Medical Devices Regulations (Government Notice R. 1030 of 2017) applicable in South Africa Johannesburg and the broader Gauteng province.
- The supplier warrants that all Orthodontist-grade materials, including brackets, archwires, aligners, and bonding agents, are new, unused, and manufactured in accordance with ISO 13485 medical device quality management standards.
- Delivery shall be made to the specified address in South Africa Johannesburg no later than 28 June 2025. Late delivery beyond five (5) business days entitles the purchasing Orthodontist practice to cancel this Purchase Order without penalty and seek alternative supply.
- Payment shall be effected within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, via electronic funds transfer (EFT) to the bank account details provided above. All amounts are denominated in South African Rand (ZAR).
- The supplier shall provide a minimum twelve (12) month warranty on all orthodontic equipment and consumables listed in this Purchase Order, covering manufacturing defects and material failures under normal clinical use by a registered Orthodontist in South Africa Johannesburg.
- Any disputes arising from this Purchase Order shall be governed by the laws of the Republic of South Africa, and the parties agree to submit to the exclusive jurisdiction of the High Court of South Africa, Johannesburg Division.
- This Purchase Order may only be amended in writing, signed by authorised representatives of both parties. Verbal modifications are not binding.
- The supplier acknowledges that the goods are procured for use in a clinical Orthodontist practice serving patients in South Africa Johannesburg and the surrounding metropolitan area, and shall ensure all packaging and labelling meet South African regulatory requirements for medical and dental products.
- Confidentiality: Both parties agree to treat all commercial terms, pricing, and patient-related information exchanged in connection with this Purchase Order as strictly confidential and shall not disclose such information to third parties without prior written consent.
