- This Purchase Order is issued by Dr. Elif Kaya Orthodontics, a registered Orthodontist practice operating in Turkey Istanbul, and constitutes a binding request for the supply of orthodontic equipment and clinical materials as itemized above.
- All goods must comply with the Turkish Medical Devices Regulation (T.C. Sağlık Bakanlığı Tıbbi Cihaz Yönetmeliği) and CE marking requirements applicable in Turkey Istanbul and the broader European Economic Area.
- The supplier, MedDental Istanbul Ltd., shall deliver all items to the Orthodontist practice address in Bebek, Istanbul, Turkey, no later than 05 July 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
- Payment shall be made via bank transfer (EFT/Havale) to the supplier's designated account in Turkey Istanbul within thirty (30) calendar days of receipt of a valid commercial invoice (Fatura) and proof of delivery.
- All orthodontic products must be new, unopened, and within their manufacturer's stated shelf life. The Orthodontist practice reserves the right to reject any items that do not meet the specifications outlined in this Purchase Order.
- The supplier shall provide a minimum two (2) year warranty on all electronic and digital equipment (including the intraoral scanner and CBCT software license) and a one (1) year warranty on all mechanical instruments and consumables.
- Any modifications, substitutions, or changes to this Purchase Order must be made in writing and signed by both the Orthodontist practice representative and the authorized supplier representative. Verbal agreements are not binding.
- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this transaction shall be resolved in the competent courts of Istanbul, Turkey.
- The supplier acknowledges that the goods are procured for use by a licensed Orthodontist in Turkey Istanbul and shall not be resold or diverted without written consent from the buyer.
- Confidentiality: Both parties agree to maintain the confidentiality of all business information exchanged in connection with this Purchase Order, including pricing, patient-related data, and practice operational details specific to the Orthodontist clinic in Turkey Istanbul.
Delivery shall be made via the supplier's logistics partner to the Orthodontist practice premises in Turkey Istanbul. The buyer's designated receiving officer shall inspect all items upon arrival and sign the delivery note (Teslimat Fişi). Acceptance of goods does not waive the buyer's right to claim warranty repairs or replacements for latent defects discovered within the warranty period. The Orthodontist practice shall notify the supplier of any discrepancies within five (5) business days of delivery.
