1. Delivery: All items referenced in this Purchase Order shall be delivered to the designated Paramedic training and operations facility located at Av. Libertador Bernardo O'Higgins 1250, Providencia, Chile Santiago, within 45 calendar days from the date of this Purchase Order acceptance. Delivery schedules for individual line items shall be coordinated between the supplier and the Paramedic operations team in Chile Santiago.
2. Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon delivery and inspection of all Paramedic equipment in Chile Santiago, and 20% upon successful completion of the Paramedic training program and final acceptance. Payment shall be made via bank transfer to the supplier's account in Chilean Pesos (CLP).
3. Quality Assurance: All Paramedic equipment must comply with Chilean regulatory standards (NCh) and international medical device certifications. The supplier guarantees that all items meet the specifications required for Paramedic emergency response operations in Chile Santiago. A 24-month warranty is included for all electronic and mechanical components.
4. Training and Support: The supplier shall provide on-site technical training for Paramedic personnel in Chile Santiago covering the operation, maintenance, and troubleshooting of all delivered equipment. Ongoing technical support shall be available via phone and email for a period of 36 months.
5. Cancellation and Modification: This Purchase Order may be modified or cancelled only by mutual written agreement of both parties. In the event of cancellation, the supplier shall be compensated for materials already procured and work already performed on Paramedic equipment destined for Chile Santiago.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this Purchase Order related to Paramedic services or equipment in Chile Santiago shall be resolved through the competent courts of the Judicial District of Santiago, Chile.
7. Compliance: Both parties confirm compliance with all applicable labor, health, and safety regulations governing Paramedic operations in Chile Santiago, including those established by the Superintendencia de Seguridad Social (SUPERSONDA) and the Chilean Ministry of Health.
