This Purchase Order is issued by the Shanghai Municipal Emergency Medical Services Administration to procure the professional services of a fully certified and licensed Paramedic for deployment within the jurisdiction of China Shanghai. The Paramedic shall be engaged to provide advanced pre-hospital emergency medical care, critical patient stabilization, and emergency transport services in accordance with the national and municipal emergency medical response protocols established by the National Health Commission of the People's Republic of China and the Shanghai Municipal Health Commission.
The Paramedic engaged under this Purchase Order must hold a valid Chinese Paramedic Practicing Certificate (issued by the National Health Commission), a current Advanced Cardiac Life Support (ACLS) certification, a Basic Life Support (BLS) certification, and a valid driver's license permitting the operation of emergency medical vehicles within China Shanghai. The Paramedic shall be proficient in Mandarin Chinese and shall demonstrate fluency in English to facilitate communication with international patients, expatriate communities, and foreign medical personnel operating within the China Shanghai metropolitan area.

- This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the emergency medical services regulations applicable in China Shanghai.
- The Paramedic engaged under this Purchase Order shall commence duties no later than July 1, 2025, and shall report to the designated emergency response station in the Pudong New Area of China Shanghai for initial orientation and equipment familiarization.
- Payment shall be made in quarterly installments via bank transfer to the account designated by the Seller. The first installment of CNY 118,110.50 shall be due within thirty (30) calendar days of the date of this Purchase Order.
- The Paramedic shall be subject to random drug and alcohol testing in compliance with China Shanghai municipal emergency services regulations. Failure to pass such testing shall constitute grounds for immediate termination of this Purchase Order without penalty to the Buyer.
- All medical records, patient data, and operational information handled by the Paramedic shall be treated as strictly confidential in accordance with the Personal Information Protection Law of the People's Republic of China and the data protection standards enforced in China Shanghai.
- The Seller warrants that the Paramedic shall maintain all required certifications, licenses, and registrations throughout the contract period. Any lapse in certification shall be remedied within fourteen (14) days at the Seller's sole expense.
- This Purchase Order may be terminated by either party with sixty (60) days' written notice. In the event of termination, the Buyer shall be liable only for services rendered up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai, in accordance with its then-current rules.

NOTICE: This Purchase Order document is an official procurement instrument issued for the engagement of a Paramedic in China Shanghai. It does not constitute an employment contract. The Paramedic's employment relationship, if any, shall be governed by a separate agreement between the Seller and the Paramedic. All references to "China Shanghai" in this document refer to the municipal administrative boundaries of Shanghai, People's Republic of China.
