  1. Scope of Supply: The Supplier shall deliver all paramedic equipment, training services, and support systems as specified in this Purchase Order to the designated locations within Kinshasa, DR Congo. All paramedic ambulances must be fully operational, inspected, and certified prior to handover at the Kinshasa Central Hospital receiving dock.
  2. Delivery and Logistics: All items under this Purchase Order shall be delivered to Kinshasa, DR Congo, within 45 calendar days of the order date. The Supplier is responsible for all inland transportation, customs clearance at the Port of Matadi or Kinshasa airport, and final delivery to the paramedic staging facilities in Gombe, Lemba, and Ngaliema communes.
  3. Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon delivery and inspection of all paramedic equipment in Kinshasa, and 20% upon successful completion of the paramedic training program and 30-day operational trial period. Payments shall be processed via wire transfer to the Supplier's account at BCC (Banque Commerciale du Congo), Kinshasa branch.
  4. Quality Assurance: All paramedic medical equipment must comply with the World Health Organization (WHO) prequalification standards and the regulatory requirements of the DRC Ministry of Health. The Supplier warrants that all paramedic supplies are new, unused, and free from defects for a minimum period of 24 months from the date of delivery in Kinshasa.
  5. Compliance with Local Law: This Purchase Order is governed by the commercial laws of the Democratic Republic of Congo. All paramedic services and equipment procurement activities shall comply with the DRC Public Procurement Code (Loi n° 011/2002) and applicable regulations of the Kinshasa municipal authority. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo.
  6. Paramedic Personnel Requirements: The Supplier's training program (Item 04) must be delivered by certified instructors with experience in tropical and resource-limited emergency medicine. All 96 paramedic trainees must be residents of Kinshasa and hold a minimum secondary education certificate. The training curriculum must include modules on malaria management, Ebola response protocols, and mass casualty incident management specific to the DR Congo Kinshasa urban environment.
  7. Warranty and After-Sales Support: The Supplier shall provide a dedicated technical support representative stationed in Kinshasa for the duration of the 12-month maintenance contract. Response time for paramedic ambulance breakdowns shall not exceed 4 hours during operational hours (06:00–22:00 CAT) and 8 hours during off-hours.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to civil unrest, epidemic outbreaks, or infrastructure disruptions affecting the Kinshasa metropolitan area. In such cases, the affected party must notify the other within 72 hours in writing.
  9. Confidentiality: All operational data related to paramedic dispatch, patient information, and medical records generated under this Purchase Order shall remain the exclusive property of the Kinshasa Regional Health Authority and shall not be disclosed to third parties without written consent.
  10. Acceptance and Inspection: Upon delivery in Kinshasa, a joint inspection team comprising KRA paramedic supervisors and a WHO technical advisor shall verify all items against this Purchase Order. Acceptance shall be documented in a signed Delivery Acceptance Certificate. Rejected items must be replaced within 14 days at the Supplier's expense.
Important Note: This Purchase Order is issued in support of the Kinshasa Paramedic Emergency Response Expansion Initiative, a joint program between the DRC Ministry of Health, the WHO African Region, and the Kinshasa Regional Health Authority. The objective is to establish a fully operational paramedic emergency medical service covering all 24 communes of Kinshasa within 18 months, reducing pre-hospital mortality and improving access to advanced paramedic care for the 17 million residents of the DR Congo Kinshasa metropolitan area. All funds allocated under this Purchase Order are subject to audit by the DRC Court of Auditors and the WHO financial oversight committee.
