This Purchase Order is issued by Azienda Ospedaliera di Milano S.p.A. (hereinafter referred to as the "Buyer") to MedicaParamedica Italia S.r.l. (hereinafter referred to as the "Supplier") for the procurement of qualified Paramedic personnel, associated medical equipment, and ongoing emergency medical response services to be deployed and operated within the metropolitan area of Italy Milan. This Purchase Order governs all terms, conditions, deliverables, and obligations related to the engagement of Paramedic professionals and the supply of specialized emergency medical resources in compliance with the regulations of the Italian National Health Service (Servizio Sanitario Nazionale) and the specific operational protocols established for the city of Milan.

All Paramedic personnel engaged under this Purchase Order shall be deployed and shall commence active duty no later than 1 August 2025. The Supplier is responsible for ensuring that every Paramedic assigned to this contract holds a valid Italian Paramedic license (Iscrizione all'Albo dei Tecnici Sanitari di Radiologia Medica e del Pronto Soccorso) issued by the relevant regional authority in Lombardy. All Paramedic staff must be physically stationed within the administrative boundaries of the city of Milan, Italy, and shall report to the designated emergency response coordination center located at Via Sforza 35, Milan. Equipment and vehicles listed in Items 04 through 08 shall be delivered to the Buyer's facilities in Italy Milan no later than 25 July 2025, with a minimum of ten (10) business days' prior written notice to the Buyer's logistics department.

Payment for this Purchase Order shall be made in accordance with the following schedule: (a) a 30% advance payment (EUR 386,660.70) shall be due within thirty (30) calendar days of the Buyer's written acceptance of this Purchase Order; (b) a 50% interim payment (EUR 644,434.50) shall be due upon confirmed deployment of all Paramedic personnel and delivery of all equipment to the Italy Milan sites; (c) the remaining 20% balance (EUR 257,773.80) shall be due within sixty (60) days following the completion of the full twelve-month service period. All payments shall be made via bank transfer to the Supplier's designated IBAN account in accordance with Italian commercial law (Codice Civile, Libro Quarto). Late payments shall accrue interest at the rate prescribed by Article 634 of the Italian Civil Code.

This Purchase Order is governed by and shall be construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy. The Supplier warrants that all Paramedic personnel engaged under this contract shall maintain full professional liability insurance (RC Professionale) with a minimum coverage of EUR 2,000,000 per claim, in compliance with the requirements of the Italian Ministry of Health. The Supplier shall comply with all applicable Italian data protection regulations, including the GDPR and the Italian Privacy Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018), with respect to all patient data handled by Paramedic staff during emergency response operations in Italy Milan. The Buyer reserves the right to audit the Supplier's compliance with all contractual obligations, including but not limited to Paramedic shift schedules, equipment maintenance logs, and response time performance metrics, upon no fewer than forty-eight (48) hours' written notice.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Paramedic services and associated resources for deployment in Italy Milan. This document constitutes a binding commercial agreement effective from the date of the last signature.
